Amanda Van Der Merwe
Head of the Legal Advisory Services | Bank of Windhoek
What are the most significant cases, projects and/or transactions that you and/or your legal team have recently been involved in?
Over the past year, our legal team has been involved in a range of high impact matters that highlight both our technical capability and our strategic role within the organisation.
We advised on several complex structured finance transactions, providing guidance on structuring, negotiation, and risk allocation. These matters required close coordination across business units, and our team ensured that each transaction was executed efficiently while safeguarding the institution’s legal and regulatory position.
We also contributed significantly to legislative and regulatory reform processes, offering input during public consultations on key financial sector initiatives. Our submissions supported balanced frameworks that encourage innovation while maintaining strong compliance and consumer protection standards.
In addition, we maintained ongoing oversight of the organisation’s core suite of standard documentation. By routinely reviewing and updating these instruments, we ensured they remain legally sound, commercially practical, and aligned with shifting regulatory expectations.
Alongside these major projects, we continue to deliver the full breadth of in house legal services, including contract drafting, regulatory compliance support, dispute management, and broader risk mitigation. I also prioritise team leadership and development, fostering a collaborative, resilient, and solutions focused legal function that is viewed as a trusted business partner.
How do you approach managing legal aspects during periods of instability or crisis to ensure the organisation’s resilience?
During periods of uncertainty, I focus on proactive risk assessment, calm leadership, and clear communication. The legal team works swiftly to identify potential exposures, contractual, regulatory, operational, or reputational and provides practical guidance that enables rapid but well informed decision making. We maintain strong engagement with internal and external stakeholders, ensuring alignment as circumstances evolve. At the same time, we reinforce governance, update key documents, and maintain robust compliance processes. By combining technical rigour with steady leadership, I help support organisational resilience and long term stability.
Based on your experiences in the past year, are there any trends in the legal or business world that you are keeping an eye on that you think other in-house lawyers should be mindful of?
Several trends are becoming increasingly important for in house counsel. Regulatory change particularly in areas such as ESG, data protection, and financial sector compliance is accelerating, requiring continuous monitoring and adaptability. Technology, especially AI, is reshaping legal operations by creating efficiencies but also introducing new governance and ethical challenges. Geopolitical shifts and global economic volatility continue to alter risk profiles, requiring more active scenario planning and contract stress testing. Lastly, there is a growing expectation that legal teams help embed ethical conduct and ESG principles across organisations.
2.1. What is a cause, business or otherwise, that you are passionate about? Why is this?
I am passionate about fostering employee wellbeing and enabling people to grow. A supportive environment strengthens performance and organisational resilience, and I believe individuals thrive when they feel valued and mentored. I prioritise continuous learning to stay agile and provide relevant guidance in a changing landscape. I am also committed to cancer awareness initiatives, believing organisations should contribute to broader social wellbeing while empowering both employees and communities to thrive.
