What are the key projects that you have been involved in over the past twelve months?
Over the past period, I have been involved in several key legal projects for the Zabka capital group. These included the execution of an English law-governed senior facilities agreement regarding the refinancing of the group’s indebtedness, and the introduction of the buy-back programme to meet Zabka Group’s obligations under the long-term incentive programme for 2025–2027.
I also participated in the establishment of a bond issue programme for PLN 1 billion, along with the listing of the bonds on the Catalyst market of the WSE. In addition, I was involved in the issuance of new shares, which were allocated free of charge to more than 6,000 beneficiaries under the IPO Share Award programme established during the IPO, and in introducing these shares to trading on the WSE.
What do you think are the most important attributes for a modern in-house counsel to possess?
The world lives in a rush. The culture of imagery is growing. We are losing the ability to focus and analyse. We scroll. Solid, substantive knowledge will always be valued. It will always stand the test of time. Ultimately, it determines a lawyer’s worth.
AI is increasingly being integrated into legal teams to maximise efficiency. How can in-house counsel ensure the successful incorporation of these tools without compromising the human element?
From my perspective, AI is just a tool. It can improve efficiency but will not replace the human element. In-house counsels, like other counsels, should understand how AI may assist them at work, but at the end of the day, lawyers must always conduct their own review. The number of mistakes AI makes is still considerable.
