How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?

Every crisis brings opportunities, changes, challenges, and often new responsibilities. I believe the Legal team’s approach during such times must be clear-headed and objective. Legal is a key support function for the business, and our focus is always on managing the crisis while adapting to change. As in-house counsel, we need to be business allies with a collaborative point of view, solution-oriented, and ready to step up with a proactive mindset to define the right legal strategy, especially in fast-changing situations.

What are the major cases or transactions you have been involved in recently?

As Head of the Regulatory Team in a financial institution, one of the main challenges lies in managing the relationship with the regulator. To date, we have successfully secured approval from the National Banking and Securities Commission for the following: in less than three years, over 15 technology and critical providers that support our financial operations; three new business products, including securities investment, credit card issuance, and working with agents; successful incorporation of the BANXICO SPEI connection; implementation of digital KYC across all our debit products; and obtaining regulatory approval for a change of control in our financial entity, this last one being the most challenging of all. On the corporate side, working alongside my team, I have been involved in several capital raises, leading the legal and regulatory aspects of the transactions, most recently the issuance of the Series AA at the U.S.-based holding vehicle. I have also led the legal and regulatory aspects of an integration project between Fondeadora and another entity to jointly originate a credit portfolio.

Working in a financial technology company means that technology is at the core of how we operate, including within Legal. Our team uses tools such as Notion and Jira for document management and internal request tracking. We also leverage AI tools to build agents that can answer legal queries and run searches across applicable regulations, helping us work more efficiently and stay aligned with the pace of the business.
