How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
My strategy is centred on Fiduciary Risk Governance and Multi-Sector Regulatory Agility across our three distinct entities (SOFOM E.N.R., Surety, and Healthcare).
For the SOFOM E.N.R., my legal strategy focuses on protecting institutional resources. This involves identifying and securing the most robust and enforceable guarantee alternatives (e.g., security trusts and non-possessory pledges) in all major financing contracts to shield the institution’s capital from credit risk.
For the Surety Company (Afianzadora), my legal support must be business-enabling. My team provides legal guidance based on deep business knowledge, ensuring strict compliance with regulations (CNSF/CONDUSEF) while avoiding actions that negatively impact commercial agility or market competitiveness.
For the Healthcare Company, my focus is on proactive and extended compliance. This includes rigorous adherence to COFEPRIS and, crucially, contractually requiring regulatory compliance from all suppliers (a lesson emphasised during the COVID-19 pandemic) to mitigate the risk of systemic supply chain failure.
What are the major cases or transactions you have been involved in recently?
In the past year, my key strategic involvements included:
SOFOM Funding/Risk Mitigation: I formalised the most important financial transactions for the SOFOM by utilising Guarantee, Administration, and Payment Source Trusts. This legal structure successfully transferred credit risk, making these transactions the safest for the institution while maximising portfolio size.
Healthcare Compliance Catalyst: I successfully initiated and concluded a comprehensive sanitary audit which allowed my legal team to focus compliance efforts on fundamental aspects of COFEPRIS and health regulations. This clarity has since paved the way for more ambitious and complex health service expansion projects.
