General Counsel | Quarterhill

Majorie M. Winters
General Counsel | Quarterhill
What projects are you most proud to have worked on over the past 12 months?
Although I have not yet reached a full year in my role at Quarterhill, I am immensely proud of the work undertaken to date. Many of the projects I lead are commercially sensitive and cannot be disclosed in detail due to the company’s public status. What I can share is that Quarterhill’s dynamic, fast-paced environment provides fertile ground for complex and high-impact projects that require both legal and strategic agility. From advising on transformative commercial initiatives to supporting innovation-driven partnerships, my work has centered on positioning the company to seize emerging opportunities while safeguarding its assets and reputation. The pace, breadth, and strategic significance of these initiatives make this an exceptionally rewarding period in my career.
Have you had any experiences during your career as a lawyer that stand out as particularly unique or interesting?
My career path has been unconventional, deliberately shaped to combine commercial insight with legal expertise. I began with an MBA and launched my career in consulting for a publicly traded technology company that was among the earliest adopters of AI-driven platforms. While shadowing the CEO during the company’s sale to another public entity, I discovered a deep interest in the legal aspects of M&A — an experience that ultimately inspired me to pursue a JD.
Since then, I have navigated a mix of roles, from top-tier law firms to in-house counsel positions at both large public corporations and agile startups. Additionally, my non-traditional path included taking time off to raise my children. I was fortunate to have opportunities to quickly step back into the flow when my personal life allowed.
With this diversity of experience, I have been equally at home advising on the high-intensity demands of IPO readiness as I have been counseling lean executive teams in smaller firms. This breadth has given me practical insight into both structured corporate environments and the fast-evolving needs of emerging businesses. I thrive in situations of rapid change, where legal strategy must be as adaptive as the business itself.
How does your team contribute to the overall business strategy of the company?
At Quarterhill, the legal team is deeply embedded in the company’s mission to revolutionize transportation infrastructure through software and AI solutions. We partner closely with the executive team to shape strategic decisions, ensuring every growth initiative is underpinned by sound risk management and compliance. Working in close alignment with our CRO and business development leaders, we structure agreements and partnerships that advance our domestic and international expansion goals. With our IT and operations teams, we collaborate on delivering solutions that not only meet evolving customer needs but also protect our intellectual property and manage regulatory requirements. Our strong M&A capabilities also position us to guide the company through inorganic growth opportunities — from evaluating potential targets to structuring transactions that support long-term value creation. In this way, the legal team at Quarterhill is not simply back-office support, but a strategic partner that fuels innovation, growth, and resilience.
