What are the most significant cases, projects, or transactions that you and your legal team have recently been involved in, and how do you approach managing legal aspects during periods of instability or crisis?
Vietnam has seen significant and numerous legal reforms in 2025 due to rapid technological and regulatory advancements and changes. From July 1st, 2025, 15 laws have officially gone into effect, marking significant legislative milestones across various sectors, and many of those changes have impacts on business operation in all sectors, including retail – our company’s primary line of business. Accordingly, during the year 2024 and 2025, we have participated in assessing the general impacts on business operations of Vietnamese enterprises particularly in the retail section of numerous Proposed Draft Legal Documents. These include laws or decrees or legal guidance documents, to be amended or newly reformed by the Government. Then we contribute our opinions on amending these Drafts by sending written opinions to the legislative agencies or participating in official meetings/discussions organized by the Government Agencies/ National Assembly or Ministries and raising our opinions to the Government agencies that are responsible for drafting those laws. We have made significant contributions to the Drafts of those legal documents including the Draft of Data Law; Law on Fire Prevention, Fighting, and Rescue; E-commerce Law; Amended Food Safety Law; Decree detailing a number of articles of the Law on Environmental Protection on the responsibility of recycling products, packaging and waste treatment of manufacturers and importers. As well as Draft Resolution of Hanoi People’s Council on measures to reduce plastic emissions in Hanoi; Draft Resolution of Hanoi People’s Council stipulates support and incentive measures for waste recycling activities using
the best available techniques in Hanoi. In particular, we have participated in official meetings organized by the Government and Ministries addressing matters with significant impact on the enterprise’s business operations under the Law on Personal Data Protection and the Law on Product and Goods Quality which have been accepted and revised in the official issued Laws.
To support the Government in its strategy to comprehensively revise legal documents and develop core strategic objectives of the industry, with the vision of the senior manager of WinCommerce – one of the leading enterprises in the retail sector of Vietnam, I have contributed my opinions to the Government and the Ministry of Industry and Trade on the Proposal of “Vietnam’s strategy for the retail market by 2030, vision to 2050”, the Project of “Recommendations to the Government to support the development of leading private economic enterprises” as well as gave opinion and assessment on the difficulties and obstacles caused by legal regulations in enterprise business activities in the past and proposed solutions according to the request of the Ministry of Justice.
Embracing these changes requires a keen understanding of key legal sector trends and lawyers must put an increasing amount of effort to adopt these trends to enhance operational efficiency and overall satisfaction within the organization. Therefore, we have also assessed the impact of legal changes on WinCommerce’s business operations, developed comprehensive action plans across all departments to prepare facilities and ensure full compliance with legal regulations upon issuance and enforcement of new legal documents.
Staying ahead of these trends is crucial for any legal team looking to offer great value in the rapidly evolving industry. However, with the aims of contributing more outstanding value to the company’s overall operations, we have proposed and gotten approval from our CEO to establish a project to review and build processes, regulations and policies for the entire operation of the company. This will help to ensure legal compliance upon implementation of new legal regulations, and at the same time review barriers and obstacles in the business operation process of the company’s departments. Throughout the past period, measures have been taken to refine and improve the application of processes, policies, and regulations to ensure greater operational efficiency.
What have you done to further diversity objectives in your organisation?
To further diversity objectives in our organization, I have taken the following actions:
Firstly, for the legal resource development and legal advice quality control management, I have assessed the current workforce and set clear and measurable goals and assessable KPIs for our Legal Team. Then I built an organizational structure chart for the Legal Department that is suitable for the business operation to support activities of the Company. In parallel, I have implemented strategies such as carrying out
professional training, fostering an inclusive work environment through employee engagement, transparent communication and instruction on Team’s scope and goals. As well as regular tracking and evaluation which are essential to identify areas for improvement, celebrate successes, and ensure ongoing commitment to high-quality legal services in support of the company’s diverse business activities.
Secondly, to enhance further diversity objectives of the company, I have established a legal risk management strategy by building a risk management model and system through 3 main lines of defenses, including (i) a compliance framework ensuring maximum legal compliance and minimizing financial risks associated with the company’s transactions and operation; (ii) identify, control, and minimize risks in daily business operations by delivering quality legal services that enable the prompt and flexible handling of emerging legal issues and identified risk events, and (iii) conduct independent legal audits and monitoring of compliance levels of departments then design effective solutions to overcome legal weaknesses and loopholes of the company’s operational systems (if any). After that, I coordinated with relevant departments to improve control compliance. Other effective strategies especially for the year 2025 include reviewing and adjusting the company’s regulations, procedures, and policies to align with newly enacted laws and legal regulations, while removing barriers to the company’s business operations.
Overall, the key to successfully reaching the legal strategy’s goals is to become a necessary and reliable partner who has a deep understanding of business activities and business partners within the company. Both in legal view and business view; researching and predicting legal trends for the company’s business operations to help the business partners build better business plans and implement business operations more efficiently. The legal advice should cover not only legal matters, but also operational matters, financial impact, potential risks and feasible solutions to overcome obstacles when deploying legal work.
Have you had any experiences during your career as a lawyer that stand out as particularly unique or interesting?
One of the most interesting experiences I have had in my legal career is my involvement in legal training. Currently, in addition to my role as Legal Director at WinCommerce, I am a Visiting Lecturer of Vietnam Judicial Academy for the international commercial lawyer training courses.
With my professional capacity and in-depth experience after many years of consulting and participating in litigation and dispute resolution in a variety of legal fields such as Intellectual Property, Investment, Corporate Governance and Commercial, Banking and Finance, Real Estate and Construction, Logistics, Agriculture, Medicine, and Retail Sector, I believe that I can help law students and young lawyers find their motivation and direction in their legal career and guide them with the skills to build professional brand and achieve success in their career.
My attendees often describe me as a passionate, enthusiastic and experienced lecturer with easy-to-understand and effective teaching methods, with many actual examples of real cases and effective solutions to legal problems that make them feel the class is really engaging and effective. Notwithstanding the everyday challenges, the role of a legal lecturer really brings me joy in another aspect of the legal profession and I hope that I can contribute more to the career of training excellent lawyers for Vietnam in the future.
