About

An expert in banking and finance law, Meredith S. Jackson, executive vice president and general counsel at TCW, is recognised for her outstanding technical ability and leadership throughout her career. Initially focused on bank deals and restructurings she started at Bingham Dana, as it was then known, in the banking and capital markets team. As her interest in capital markets debt transactions grew, she joined Wilson Sonsini in Palo Alto, where she handled primarily high yield corporate debt, but also structured products, derivatives, bank financings, and other debt capital transactions. In 1999, she joined Irell & Manella in Los Angeles to head up their debt finance practice, and in 2013 moved in-house to TCW, a former client of hers, and began a whole new set of challenges. She remodelled the in-house department by reviewing the overall corporate structure, tightened up relationships with outside counsel and reducing the number of firms used, and reaching out to regulators. Jackson explains: ‘I had an opportunity to lead a discussion on behalf of the asset management industry with the SEC, our primary regulator, regarding proposed rule-making. This experience made me re-think how we should interact with our regulators, and consider the benefits of an open dialog, including better-calibrated rules, a more productive working relationship in our shared goal to protect investors, and a stronger, better-informed internal compliance programme. Since then, we have increased our focus on working proactively with our regulators’. From this experience Jackson and her team have gone from strength to strength, expertly handling the fluctuating regulatory market and managing all of the business’ corporate activity. Jackson is a highly experienced and recognised leader in the sector. She advises new in-house counsel to ‘ask questions. Lots of questions. Don’t be afraid to admit what you don’t know or understand. Always look at issues from the perspective of your clients, and anticipate what their concerns might be’.
