What do you think are the most important attributes for a modern in-house counsel to possess?

As megatrends like climate change and resource scarcity continue over the next ten years and we face into a cost-of-living crisis, I see an increasing role for in-house counsel in driving forward the company’s purpose and values. Legal compliance will become a hygiene factor, and stakeholders will be increasingly interested in whether companies are doing the right thing (not just the legal thing) for people and planet. I see an important role for in-house counsel in upholding these values and supporting the business to stay true to its purpose. Legal advice will need to strike the right balance between short-term commercial goals, reputational risk, and long-term sustainable business. For in-house counsel to add value, they will need to have high emotional intelligence combined with a deep understanding of the motivations of consumers, employees and other stakeholders. As we enter a time of unprecedented change, in-house lawyers will increasingly need the ability to look into the future and see the bigger picture (in terms of both legislative and societal change), while remaining agile in case of unexpected disruption.

How can general counsel foster a corporate culture that supports ESG principles and compliance across all levels of the organisation?

General counsel can do this in many ways. Firstly, reinforcing company values through recognition: to uphold Nestlé’s core values. Respect for individuals, others, the planet, and diversity, it is essential to acknowledge employees who embody these principles. The Legal team has introduced a “Respect” awards initiative, allowing colleagues to nominate peers who exemplify the company’s values. This initiative helps cultivate a culture aligned with ESG principles and reinforces compliance.

General counsel can also establish governance structures: the Legal team has formed an ESG Council, a sub-committee of the UK & Ireland senior leadership team. Meeting quarterly, the Council provides strategic direction on ESG matters, monitors progress, identifies risks, and promotes stakeholder engagement. This governance model ensures ESG is embedded in business strategy, with Legal playing a central role in oversight and accountability.

General counsel can promote an ethical culture through speak-up mechanisms: Legal and Compliance functions are instrumental in addressing non-compliance. As Compliance Officer, I oversee the company’s Speak Up line, ensuring that all reports are thoroughly investigated. Advocating for this tool reinforces accountability, encourages ethical conduct, and fosters a transparent environment where employees feel empowered to voice concerns. Ensuring ESG communications align with legal risk frameworks: legal teams play a critical role in shaping ESG communications and mitigating greenwashing risks. At Nestlé, ESG claims are reviewed by a cross-functional claims committee led by Legal, which also provides training on ESG-related legal risks. This proactive approach builds internal and external trust and credibility.

General Counsel can lead or support human rights initiatives through training, grievance mechanisms, and awareness campaigns, championing human rights and due diligence. At Nestlé, we’ve partnered with the charity “Unseen” to raise awareness about modern slavery in the UK, helping employees at all levels connect with and understand human rights issues.

General counsel can exchange externally: active participation in external organisations enables general counsel to share best practices and build knowledge. My role as ESG Co-Leader for the Association of Corporate Counsel Europe (ACCE) and my regular speaking engagements at ESG conferences enhance my ability to drive sustainable transformation within the organisation.
