What are the most significant projects you have worked on in the past year?

Over the past year, the Legal Department of Ringier Romania, under my leadership as Legal Manager, has been actively engaged in several strategic initiatives designed to strengthen the company’s compliance culture, ensure adherence to evolving regulatory frameworks, and reinforce a foundation of integrity and transparency within the organisation. These efforts have positioned the department as both a guardian of legal standards and a trusted business partner.

Among our most significant achievements has been the drafting and implementation of a comprehensive Compliance Policy, aligned with Ringier Group’s international governance principles while tailored to the specific operational landscape of Romania. This policy sets out clear internal procedures and accountability mechanisms, embedding compliance into daily business practices and decision-making. It also promotes a proactive understanding of ethical obligations across all departments, fostering a culture of responsibility and awareness.

In parallel, I coordinated the development of a Whistleblowing Policy, compliant with EU Directive 2019/1937 and Romanian transposition legislation. The initiative focused on establishing secure, confidential reporting channels and robust protection mechanisms for employees raising concerns. This not only ensures compliance with legal requirements but also reinforces the company’s commitment to transparency, fairness, and integrity. To support the policy’s successful adoption, the legal team conducted awareness sessions and training programs, encouraging open dialogue and trust.

Another key area of focus has been the revision and modernization of internal procedures addressing workplace harassment and discrimination, in full compliance with Romanian labour and equality laws. These policies were designed to strengthen a culture of respect and inclusion, while preventing potential conflicts and safeguarding employee wellbeing.

When managing legal aspects during periods of instability or crisis, my approach centers on three core principles: anticipation, agility, and alignment. Anticipation involves continuous monitoring of regulatory developments and risk areas, enabling the company to act proactively rather than reactively. Agility is maintained through clear internal communication, rapid adaptation of contractual and compliance frameworks, and scenario planning to address potential business disruptions. Finally, alignment ensures that legal strategy remains consistent with Ringier’s corporate values and long-term vision, maintaining ethical standards even under pressure.

During crises—whether regulatory, reputational, or operational—the Legal Department’s role extends beyond risk mitigation. We act as strategic advisors, ensuring business continuity while preserving stakeholder trust. By balancing legal rigor with practical flexibility, we support informed decision-making and contribute to the organisation’s resilience and stability.

Collectively, these initiatives and guiding principles have strengthened Ringier Romania’s position as a responsible and forward-thinking media company—one that upholds the rule of law, values integrity, and thrives even in challenging circumstances.

What strategies do you employ to ensure the successful digital transformation of a legal department while maintaining compliance with your country’s data protection laws?

As  Head of the Legal Department , I lead the department’s digital transformation by integrating secure, efficient technologies built on a compliance-by-design approach, ensuring every innovation aligns with GDPR and Romanian data protection laws.

How can general counsel foster a corporate culture that supports ESG principles and compliance across all levels of the organisation?

As Head of the Legal Department, I foster an ESG-focused culture by integrating ethical standards and compliance principles into every level of the organisation. I work closely with management and employees to ensure that sustainability, integrity, and accountability guide both strategic decisions and daily operations. By aligning legal compliance with ESG goals, I help strengthen Ringier Romania’s long-term commitment to responsible and transparent business practices.

What factors influence your team’s decision to use external legal services versus handling matters in-house, and what criteria are used to evaluate their performance?

Our decision to engage external counsel depends on the complexity, specialization, and strategic impact of each matter. When specific expertise or cross-border legal insight is required, we collaborate with trusted external partners while maintaining strong internal oversight. Their performance is evaluated based on the quality of legal advice, responsiveness, cost efficiency, and alignment with Ringier Romania’s business values and compliance standards
