What are the most significant cases and/or transactions that you have been involved in over the past year?
Over the past year, I have been involved in several high-impact projects spanning infrastructure, energy, corporate law, and intellectual property. This includes drafting a bill to amend the Highway Code, contributing to regulatory reform and improved governance in road safety. I also took part in the negotiation of highway concession contracts between the Moroccan State and one of its subsidiaries, aligning legal safeguards with strategic infrastructure goals. In the field of project financing, I supported the structuring and negotiation of deals, particularly in the infrastructure and energy sectors.
My work extended to the negotiation and drafting of Engineering, Procurement, and Construction (EPC) contracts, drilling agreements, and construction contracts within the context of public procurement. One of the highlights of the year was assisting in the implementation of one of the largest high-voltage wind-generated electricity supply contracts, reinforcing the Group’s commitment to renewable energy. On the corporate side, I advised on the merger-absorption of two French companies, focusing on tax optimisation, liability management, and compliance with competition law. Additionally, I contributed to the launch of an intellectual property project designed to protect the Group’s strategic assets and innovations.
Each of these matters involved close collaboration with both internal teams and external counsel, and required navigating complex legal, operational, and strategic considerations.
We are now living in a changing geopolitical environment, with increased sanctions and export controls over the past two to three years. Does this affect your work, particularly regarding your risk management duties?
Indeed, with the increasing complexity of European laws, and especially of extraterritorial laws in general, we are more and more confronted with restrictions on non-re-export of spare parts or vehicles to certain embargoed countries. This restrictive aspect clashes with the principle of business continuity.
How do you motivate and manage the other members of your legal team well?
By involving them on high value-added projects within a participative management framework
What is a cause, business-related or otherwise, that you are passionate about, and why?
I am passionate about promoting ethics and compliance in business. I firmly believe that ethical business practices are essential to building a sustainable and respected company. This allows me to contribute directly to the implementation of policies that protect the integrity of our company and our employees.
Are the effects of AI on the legal world overplayed, or underplayed?
I think the effects of artificial intelligence on the legal world are often overestimated. While AI can automate certain tasks and improve efficiency, it cannot replace the nuance, judgment and experience that legal professionals bring. Human intelligence remains essential for interpreting laws, understanding complex contexts and making ethical decisions.
