What are the major cases or transactions you have been involved in recently?
In addition to the more than 30 M&A deals completed in recent years, two recent transactions (both announced to the press in the last few days and therefore public) are worth mentioning.
The first would be the refinancing and amendment/extension of Dedalus’ debt, amounting to a total of €1.78 billion, which included a €315 million PIK facility, a €1.275 billion senior term loan B facility, and a €188 million revolving credit facility. This transaction significantly optimised Dedalus’ capital structure by extending debt maturities and securing favourable financing terms.
The second would be the signing of an agreement to sell Dedalus’ business and operations considered non-strategic in Asia, the Middle East, and Africa—specifically in Singapore, Thailand, Malaysia, Brunei, UAE, Saudi Arabia, and Egypt—to ENTOMO, a leading technology company. The closing of the deal is expected to take place on 30 September 2025.
What emerging technologies do you see as having the most significant impact on the legal profession in the near future, and how do you stay updated on these developments?
Artificial intelligence will have (and is already having) a disruptive impact on the legal profession, but not only on that. At Dedalus, we are constantly monitoring developments in this area, and we recently approved an AI Compliance Policy and an AI Governance Policy. The legal department played a key role in the preparation of these policies and will continue to play a central role in their implementation.
In particular, the AI Compliance Policy is aimed at ensuring compliance with EU Regulation 2024/1689 (‘AI Act’) through the prohibition of any AI practices that carry unacceptable risks, and the promotion of responsible AI use.
Moreover, Dedalus has voluntarily signed the European Commission’s AI Pact, which is dedicated to ensuring transparency in the design, development, deployment, and oversight of AI systems, and maintaining thorough documentation to demonstrate compliance at all stages of AI use. Furthermore, Dedalus will ensure full compliance with the AI Act by prioritising resources, processes, and oversight mechanisms that align with its requirements.
How do you prioritise diversity and inclusion within your legal department, and what initiatives have you implemented to foster a more inclusive and equitable work environment?
In the Dedalus legal department, the vast majority of members are women, many of whom lead their respective regional teams as regional general counsel—for instance, in France, Italy, and ANZ. I am committed to ensuring fair opportunities for all team members, from the recruitment phase onwards, by implementing career development, talent, and succession audits to support equitable growth, promoting internal opportunities, and maintaining fair processes. I am also a sponsor of Dedalus’ key diversity and inclusion (D&I) initiatives, including the D&I Steering Committee and the D&I e-learning programmes.
