How do you approach managing legal aspects during periods of instability or crises, and how does your legal strategy align with the broader business strategy to ensure the organisation’s resilience?
For effective management of legal aspects during periods of instability or crisis, which guarantees a certain organisational resilience, a proactive and integrated approach is necessary, closely aligned with the company strategy.
Dealing with both governance and business, with full visibility on relevant issues, my role allows me to provide this type of support.
What are the major cases or transactions you have been involved in recently?
One of the main cases in which I have been involved recently is a share capital increase, approved by the Company on September 2023, for an amount of €200m, an operation which has been part of Company’s growth strategy and, in particular, realised to support the purchase by the Company itself of a stake equal to 82.4% of the share capital of the Norwegian company Kiona Holding AS, holding company of a group active in the so-called proptech sector.
What measures has your company taken to embed sustainability practices into its core business operations, and how does the role of the general counsel contribute to driving and ensuring sustainable practices within the company?
Our company has integrated sustainability practices into its core business activities by incorporating environmental, social and governance (ESG) measures into all its key processes, from supply chain management through product development to corporate governance. This involves setting measurable sustainability targets, aligning operations with international standards and ensuring transparent reporting to stakeholders.
The General Counsel contributes to giving substance to these practices and promoting their development, mainly by implementing and monitoring the Company’s constant compliance in critical areas such as data privacy, the fight against corruption and the reporting of offenses. By strengthening these compliance frameworks, the General Counsel ensures that business practices remain accountable, transparent and consistent with both regulatory requirements and the Company’s broader sustainability goals.
In your opinion, what are the main trends that are salient in your country currently (these can be legal, political, economy or business-based)?
In Italy, some of the most salient trends at the moment span across the legal, economic, and business landscape. On the legal side, there is increasing attention to compliance and transparency, particularly in areas such as data protection, anti-corruption, and corporate governance, reflecting both European regulations and national priorities.
From an economic perspective, digitalisation and the green transition are central drivers of growth, supported by significant investments under the National Recovery and Resilience Plan. Italian companies are increasingly focusing on innovation, sustainability, and international competitiveness, while also navigating broader challenges such as geopolitical uncertainty and inflationary pressures.
Overall, these dynamics are shaping a business environment where adaptability, responsible practices, and long-term value creation are becoming key priorities.
