Greenberg Traurig Grzesiak sp. k.’s ‘hardworking, diligent’ team ‘gets the job done accurately yet in a timely fashion’. Lejb Fogelman is ‘a great strategist whose decades of experience help build winning strategies’. Fogelman, Jarosław Grzesiak and the ‘highly diligent’ Rafał Baranowski assisted CVC Capital Partners with its acquisition of Żabka Polska from Mid Europa Partners. Daniel Kaczorowski assisted Erbud with the PLN45m disposal of its stake in Budlex.

Weil, Gotshal & Manges LLP’s department specialises in public M&A, private equity deals and corporate transactions for financial institutions. Paweł Rymarz, who has ‘a high level of commitment and great in-depth knowledge’, and Paweł Zdort advised UniCredit on the disposal of a 33% stake in Bank Pekao to PZU and Polski Fundusz Rozwoju. Other work included assisting Lone Star Fund with its PLN9.2bn acquisition of Xella Group from PAI Partners. Łukasz Gasiński, Marcin Chyliński and Piotr Tomaszewski are also recommended. Rafał Zwierz joined CMS in February 2018.

White & Case M. Studniarek i Wspólnicy - Kancelaria Prawna sp.k.’s team counts major energy and natural resources as well as private equity players among its clients, and handles complex cross-border M&A. Practice head Marcin Studniarek and Aneta Hajska, with support from Bartosz Smardzewski, advised Mid Europa Partners on its sale of Zabka Polska; with support from Jakub Gubański, the duo assisted Polska Grupa Energetyczna with its PLN4.2bn acquisition of a stake in EDF Polska from EDF. Piotr Szelenbaum joined SPCG sp.k..

Allen & Overy, A. Pedzich sp. k.’s group handles cross-border transactions for a range of financial institutions, international corporations and private equity funds. Practice head Jarosław Iwanicki and senior associate Tomasz Ciećwierz advised Asahi Group on its €7.3bn acquisition of the former SABMiller businesses from AB InBev. Senior associate Anna Osińska is also recommended. Jacek Michalski left to join Wolf Theiss.

Baker & McKenzie Krzyżowski i Wspólnicy Spółka Komandytowa’s group is led by the ‘invaluableTomasz Krzyżowski, with support from Marcin Gmaj and Weronika Achramowicz. Highlights included advising Varian Medical Systems on the acquisition of Candela from its founder.

CMS’ Dariusz Greszta, who has ‘impressive experience, confidence, knowledge and skills’, assisted China Everbright International with its €123m acquisition of Novago from Abris Capital Partners. Jakub Marcinkowski advised Mid Europa Partners on its sale of Żabka Polska to funds advised by CVC Capital Partners. Senior associate Julita Mazurkiewicz is ‘proactive and thoughtful’; Błażej Zagórski, who was promoted to the partnership in May 2018, is also recommended. Marek Sawicki heads the practice. Rafał Zwierz was a new arrival from Weil, Gotshal & Manges LLP in February 2018.

Dentons’ group is prominent in the energy sector as well as acting for private equity funds, financial institutions and manufacturers. The team is led by Piotr Dulewicz, who together with Paweł Grabowski handled EDF’s €1bn sale of Polish energy assets to Polska Grupa Energetyczna. Senior associate Michał Wasiak is another name to note.

At Domanski Zakrzewski Palinka, Andrzej Foltyn and Magdalena Skowrońska advised LC Corp on its acquisition of Open Life Towarzystwo Ubezpieczeń’s shares from Towarzystwo Ubezpieczeń Europa, while Bartosz Marcinkowski advised InfraCapital on its joint venture with Nokia. The ‘highly committedKrzysztof Zakrzewski, Robert Niczyporuk and Piotr Andrzejczak are also recommended. Przemysław Furmaga and Paweł Pioruński made partner.

Władek Rzycki heads K&L Gates LLP’s group, which counts Nordea Bank and GK Immobile among its clients. Michał Pawłowski and counsel Rafał Woźniak joined from CMS, and together with Andrzej Mikosz finalised the transfer of shares between the principal shareholders of Enter Air. Of counsel Michał Petz is also recommended. Minerals Mining Group is a new client.

Impeccable service’ and ‘rapid response times’ are what define Linklaters’ ‘high-quality’ team, which advises foreign investors on the Polish aspects of cross-border corporate transactions. Daniel Cousens, supported by managing associate Klaudia Królak, acted for Gategroup on its sale of the EuroShop chain to Lagardère Travel Retail. Tomasz Zorawski advised Alliance Automotive Group on its acquisition of a 51% stake in Groupauto Polska. Marcin Schulz, who was made up to partner in 2018 is another name to note.

Norton Rose Fulbright’s impressive client base includes CEE Equity Partners, Darby Capital Partners and Innova Capital. new client wins. The team advised Abris Capital Partners on its sale of a stake in Novago to China Everbright, and assisted the same client with its sale of shares in Mykogen to Greenyard. Senior associate Jan Grochowicz is noted. Paweł Bajno joined Bird & Bird Szepietowski i wspólnicy sp. k. in January 2019.

DLA Piper’s ‘highly experienced’ department provides ‘outstanding service’ and is ‘able to address complex structural issues’. Counsel Jakub Domalik-Plakwicz is ‘a respected practitioner and excellent negotiator with a highly business-oriented and hands-on approach’. The team assisted Skanska Infrastructure Development with the disposal of a 30% stake in Gdańsk Transport. Marta Frąckowiak heads the corporate team. Krzysztof Wiater is now with NGL Wiater sp.k..

Gide Loyrette Nouel’s team provides ‘an outstanding level of service’, and includes ‘extremely competent, solution-oriented problem-solvers’ such as practice head Dariusz Tokarczuk and senior associate Edyta Zalewska. The group advised Polski Fundusz Rozwoju, which acted alongside PZU, on the €2.7bn acquisition of a 33% stake in Bank Pekao from UniCredit. Mateusz Chmielewski moved to an in-house position in November 2017.

Strategic thinking and business acumen’ distinguish Hogan Lovells (Warszawa) LLP’s practice, which is led by Marek Wroniak. ‘Top-quality commercial lawyer’ Tomasz Żak delivers ‘very robust and clear legal opinions’. Highlights included acting for Arcus Infrastructure Partners on its €417m acquisition of an 85% stake in Gdańsk Transport.

In addition to providing ‘analytical and pragmatic advice, in-depth knowledge, quick response times and strong team work’, Noerr’s group ‘cares deeply about the client, establishes a positive dialogue and tries to understand the issue in a wider context’. Soltysinski Kawecki & Szlezak’s group fields lawyers who are ‘knowledgeable about the law, efficient and highly competent’. Group leader Robert Gawałkiewicz advised Agora on its co-operation with Discovery Polska. Krzysztof Pawlisz and senior associate Andrzej Motyka make ‘a great team – with a practical approach and a good understanding of clients’ goals’; they acted for Solaris Bus & Coach on its joint venture with Stadler.

At WKB Wiercinski, Kwiecinski, Baehr, Agnieszka Wiercińska-Krużewska, together with counsel Anna Wojciechowska, advised Marquard Media Polska on its acquisition of Papilot’s remaining share capital from G7 Media. Co-head Jakub Jędrzejak acted for Coders Center on the disposal of shares to SoftServe. Co-head Andrzej Wierciński and Ben Davey are also recommended. Enea, PZU and PKO Bank Polski are among new client wins.

Wardynski & Partners’ ‘reliable, committed and effective’ team is ‘always on top of things’. It advised GIC Private on its €2.4bn acquisition of shares in P3 Group, and counts Agencja Rozwoju Przemysłu among its other clients. Group leaders Izabela Zielińska-Barłożek and Paweł Ciećwierz are recommended, as are Krzysztof Libiszewski and Anna Dąbrowska. Michał Gliński, Michał Wons and Dominik Wałkowski made partner.

FKA Furtek Komosa Aleksandrowicz’s Tadeusz Komosa is providing ongoing commercial and corporate support to Balcke-Dürr Polska. Senvion instructed Edyta Jusiel on its acquisition of Euros Group.

Gessel Attorneys at Law’s team ‘understands clients’ business objectives and proposes appropriate legal structures to achieve them’. Małgorzata Badowska is ‘addicted to transactional adrenaline, winning over opponents with her fantastic attitude’; ’creative’ practice head Marcin Macieszczak and Maciej Kożuchowski are also recommended. Raya, Salmo, BGŻ BNP Paribas and H88 are clients.

In January 2019, several partners departed Kochanski Zieba & Partners, which now operates as Kochanski & Partners. The ‘highly professional’ team has ‘deep industry knowledge and a wide network’. The ‘business-minded, communicative and competent’ Rafał Rapala handled a cross-border merger within the Mitsubishi Electric group, while Paweł Cholewiński advised Infracapital on its acquisition of Duon Dystrybucja from Fortum Group. Krassowski’s clients include Bioton, Multikino and Lux Med. Practice head Bartosz Krassowski advised Paged on the acquisition of a 70% stake in Forbis Group, and assisted Systemics-PAB with its acquisition of Commsquare BVBA. Andrzej Chrzanowski is also recommended.

Magnusson - Kancelaria Prawnicza’s Artur Swirtun led a team advising Teknos Group on its acquisition of Feidal Coatings’ industrial coatings business, while practice head Tomasz Rysiak assisted Verizon Communications with the Polish aspects of its purchase of Fleematics Group. Andrzej Tokaj is another name to note.

Purchasers as well as sellers comprise Prof. Marek Wierzbowski and Partners Advocates and Legal Counsellors’s client base, which includes PKN Orlen and Yolo Group. Sławomir Jakszuk and senior associate Karolina Borkowska are recommended, as is Marek Wierzbowski, who heads the department.

Mid-market transactions form a substantial proportion of instructions for Wierzbowski Eversheds Sutherland’s team, which counts Fitness World, Rolls-Royce and Ryanair among its clients. Practice head Ewa Szlachetka handled the acquisition of a majority stake in Agrowill for Baltic Champs Group. Of counsel Krzysztof Feluch is also noted.

act BSWW’s Jacek Bieniak combines ‘stand-out market knowledge with extremely efficient business orientation’. Marta Kosiedowska and Marek Wojnar are advising Nexus Ventures on investment contracts with Polkomtel. Giuseppe La Rosa is also recommended.

At Bird & Bird Szepietowski i wspólnicy sp. k., Rafał Dziedzic assisted Sojitz with its acquisition of Solvadis. The group also advised Fleetmatics Group on its acquisition of TrackEasy. Counsel Ida Komorowska-Moj left to join Kochanski Zieba & Partners. Paweł Bajno was a new arrival in January 2019 from Norton Rose Fulbright.

Chajec, Don-Siemion & Zyto Legal Advisors’ team has a track record handling corporate matters for investment funds. Andrzej Chajec advised Value Quest on the acquisition of TTComm. Szymon Skiendzielewski and Jolanta Okoniecka are also recommended.

At Deloitte Legal, Pasternak, Korba, Moskwa, Jarmul i Wspólnicy Kancelaria Prawnicza sp.k., the team, which includes Jan Jarmul and Paweł Moskwa, assisted Coast2Coast Capital with its €29m acquisition of Krosno’s assets from Krosno’s bankruptcy trustee. Robert Pasternak is another name to note.

Maruta Wachta sp. j.’s ‘distinctive’ team is ‘a versatile collaborator in a challenging market’ for technology and digital companies. Daniel Jastrun, who ‘acts as a real team member’, and ‘creative, engaging, open-minded and ambitious’ senior associate Aleksandra Polak advised Delivery Hero Poland on its sale of a 51% stake to AmRest.

Radzikowski, Szubielska i Wspólnicy sp.k.’s group assisted Lagardère Duty Free with the acquisition of two duty-free store operators. Gabriel Wujek led a team advising the shareholders of Multimedia Polska on its acquisition by UPC Polska. Włodzimierz Radzikowski heads the practice, which also includes Dariusz Michalski.

SSW Spaczynski Szczepaniak i Wspólnicy’s ‘well-run’ practice houses lawyers with ‘excellent soft and hard skills’ and ‘an entrepreneurial approach’. Paweł Chyb assisted City Parking Group with the acquisition of a company created through a division of SysteMEG. Wojciech Szczepaniak is another name to note.

At Squire Patton Boggs Swiecicki Krzesniak sp. k., Marcin Wnukowski advised Resource Partners on the €100m acquisition of 70% of the shares in Torf Corporation – Fabryka Leków, and assisted Electa with launching the Shared Service Centre for Europe in Warsaw. Tower International is also a client.

Taylor Wessing LLP’s group is led by ‘skilled, well-informed negotiator’ Olav Nemling, who has ‘an excellent network of contacts’.
