Lawyers from the Corporate and M&A Practice have advised Budmat Bogdan Więcek, a Polish manufacturer of steel roofs and PV structures, on the acquisition of a 100% stake in the Finnish company Samesor, which develops advanced technologies for sheet metal profiling.

DZP has advised Polish company Budmat Bogdan Więcek, specialising in the construction sector, on the purchase of a 100% stake in Finnish company Samesor Oy, which manufactures innovative profiling machinery.

DZP’s client is a leading Polish company manufacturing and supplying steel roofs, gutter systems and support structures for photovoltaics. One of the most important projects carried out recently by Budmat is the supply of structures for the largest RES project in Central and Eastern Europe, the Kleczew wind and photovoltaic farm.

Samesor Oy is a Finnish company with 60 years’ experience in designing and manufacturing advanced technologies for the profiling of steel sheets, with designs available in 67 countries worldwide. With the acquisition of Samesor, Budmat has gained access to state-of-the-art technology enabling it to further invest in innovative solutions for the roofing sector.

DZP’s advice to Budmat covered all transaction stages, from negotiations, through coordination of a due diligence carried out by Finnish law firm Castrén & Snellman and cooperation in the preparation of transaction documentation, to signing and transaction closing.
