Career

Daniel M. Dunn, chair of the international and domestic tax group, focuses his practice on international and domestic tax aspects of mergers and acquisitions, joint ventures, securities offerings—including hybrid financings—and private equity transactions. Mr. Dunn advises both U.S. and non-U.S. investors and businesses regarding the U.S. tax consequences of their U.S. and offshore investments and business activities, such as those involving Canada, Latin America, Europe, and Asia.

Dechert LLP's international tax practice handles matters for a range of financial services firms, asset managers and investment funds, and represents some of the largest funds as well as small and mid-size funds. Joshua Milgrim leads the 'seamless' team out of New York and led advice to GIC in connection with the strategic partnership between a Blackstone-led consortium (including Blackstone, Canada Pension Plan Investment Board and GIC) and Thomson Reuters for Thomson Reuters’ Financial & Risk business, valued at $20bn; Daniel Dunn also worked on this matter. Steven Clemens is representing FS/KKR Advisor (as investment adviser) as well as FS Investment Corporation (FSIC) and Corporate Capital Trust (CCT) in connection with the merger of FSIC and CCT, a deal valued at $10.8bn. Alongside Clemens, Adrienne Baker in Boston is representing Barings in connection with the externalization of investment management of Triangle Capital Corporation, a business development company, through which Barings will become the investment adviser to Triangle. New additions to the team include William Cejudo, who joined in Washington DC in May 2018 from Clifford Chance. Joseph Riley joined in New York in October 2017 from Willkie Farr & Gallagher LLP. Richard Wild has retired. Andrew Bloom departed in June 2018 to head tax strategy at Golub Capital.

Dechert LLP’s tax team is ‘very knowledgeable in the RIC space and will gladly provide both industry perspective as well as an authoritative view on topics of interest’. The practice is best known for its strong financial services and asset management expertise where it advises on the tax aspects of mid-market private equity funds transactions, structured finance and securitization. Steven E Clemens and Ari Zak (‘excellent tax advisors who are willing to explore and discuss options to aid in resolving the matter at hand’) are advising FS/KKR Advisor on the multibillion-dollar merger of FS Investment Corporation and Corporate Capital Trust. Joshua Milgrim acted for GIC in a strategic partnership between a Blackstone-led consortium and Thomson Reuters to acquire a 55% stake in the equity of a new corporation created to hold the Thomson Reuters’ Financial & Risk business. Daniel Dunn and Adrienne M Baker in Boston are also recommended. Securitization specialist William Cejudo joined in May 2018 from Clifford Chance. All lawyers are based in New York unless otherwise noted.
