Corporate and M&A work is one of Barros & Errázuriz's core practice areas and the team's 'knowledge is not only legal... it also knows a lot about its clients' business'. The group regularly advises on the acquisition of controlling and minority interests, divestitures and corporate restructuring programmes; its lawyers also have vast expertise in the establishment of business structures and associations (including foreign investors setting up operations in Chile), as well as advice on joint venture and shareholder agreements. In addition, the practice regularly works in conjunction with the firm's banking and finance, competition, telecoms, energy and real estate groups on deals. Recent work highlights include acting for Japanese trading and investment conglomerate, Marubeni, on its $300m of Chilean gas distribution business GasValpo; and advising Agrosuper, Chile’s largest agribusiness conglomerate, on the $850m takeover of publicly-listed company Aquachile, the country’s largest salmon producer. In other work, the practice assisted Minera Valparaíso (together with its related entities) on the $502m sale of its majority stake in Puertos y Logística. It is highly rated for its structuring of major domestic and international transactions as well as tax litigation, planning and due diligence; and the firm has launched a sub-department, which assists US Citizen clients with US Foreign Account Tax Compliance Act compliance issues. The client list includes Agrosuper, British American Tobacco Chile, Calzada Capital Partners, Colbún, and Constructora Socovesa, which the team successfully defended against a Chilean IRS tax claim in the Supreme Court. In transactional highlights, the team advised Caitan, a joint venture between Mitsui & Co and Técnicas de Desalinización de Aguas, on the tax aspects surrounding the construction financing for a desalination plant. Fernando Barros, Carola Trucco and María Teresa Cremaschi are highly rated, and Mauricio Bascuñán and Evelyn Sepúlveda are experienced senior associates;  'Trucco and Sepúlveda are excellent resources and navigate complex structures with ease and proactivity'.
