Investment funds Tier 1

Legance - Avvocati Associati has significant experience in fund formation matters. The team advises asset management firms, their shareholders, investors and other domestic and non-domestic market players on the planning, structuring, formation and marketing of investment funds, particularly in relation to private equity and venture capital funds, private debt, real estate and other funds that invest in illiquid assets, such as infrastructure, renewable energy and mezzanine finance. Enzo Schiavello is responsible for the department; he advised on the structuring, establishment, and marketing, in Italy and abroad, of Alto Capital IV, a European venture capital fund, which is managed by Alto Partners; Barbara Sancisi, who was recently promoted to the partnership, assists with the structuring and establishment of alternative investment scheme transactions, with particular emphasis on private equity, real estate and private debt funds.

Legance - Avvocati Associati covers leveraged, acquisition, mezzanine project and real estate financing, as well as syndicated loans and securities lending transactions. Guido Iannoni Sebastianini advised Enel on a revolving credit facility that was made available by a Mediobanca – Banca di Credito Finanziario-led banking pool. The banking law group is co-ordinated by Andrea Giannelli and the energy, project and infrastructure department is co-ordinated by Monica Colombera and Filippo Ruffato. Legance - Avvocati Associati 'provides insightful legal advice'. The practice is experienced in investment grade and sub-investment grade bonds and covered, high-yield, convertible, mini and project bonds, as well as securitisation work, liability management transactions and derivatives. It advised Quaestio Capital Management on the securitisation of the non-performing loan (NPL) portfolio of Banca Monte dei Paschi di Siena and other MPS group institutions. Senior partner Andrea Giannelli heads the banking and debt capital markets departments; Vittorio Pozzi was promoted to the partnership in 2019 and Antonio Siciliano is a notable senior counsel.

In recent highlights, Stefano Parlatore represented Henkel Italia in several injunction proceedings aimed at obtaining the withdrawal of certain competitors’ products from the market and acted for the same client in the negotiation of settlement agreements, and Daniele Geronzi represented Banca Nazionale del Lavoro in various proceedings against Ferrovie del Sud Est e Servizi Automobilistici regarding issues of procedural, bankruptcy, administrative and criminal law.
