AVELLUM acted as the legal counsel to its longstanding client Kernel Holding S.A. (“Kernel”) on the acquisition of 100% of shares in Rail Transit Kargo Ukraine (“RTK-Ukraine”) worth, based on the enterprise value, USD64 million.
AVELLUM provided legal support to Kernel in negotiating and signing of the transaction documents, as well as in the completion of the transaction.
The acquisition should increase Kernel’s operating profitability and protection against ever increasing logistics costs as well as procure the smooth and efficient delivery of grains from inland silos to ports.
Kernel is the world’s leading and Ukrainian largest producer and exporter of sunflower oil, and major supplier of agricultural products from the Black Sea region to world markets. Kernel exports its products into over 60 countries.
RTK Ukraine is the second largest grain hopper wagon fleet operator in Ukraine with the market share amounting to 15%. RTK Ukraine has a fleet of almost 3,000 grain railcars.
