Allen & Overy – Studio Legale Associatoprovides technical expertise, valuable advice and excellent negotiation and communication skills’. The team assisted the joint lead managers – including Banca IMI, BNP Paribas, Mediobanca and Société Générale – with Ferrari’s issuance of a €500m bond, which was listed on the Irish Stock Exchange. In Milan, Italy co-managing partner Craig Byrne is ‘very business-oriented and has excellent technical skills’, and Stefano Sennhauser ‘impresses clients with his ability to get to the heart of issues without losing time’. Rome-based Cristiano Tommasi is also highly rated. Massimiliano Danusso joined BonelliErede.

With ‘truly excellent industry knowledge’, Clifford Chance has a pre-eminent debt capital markets (DCM) and securitisation practice in Italy. Milan-based Italian capital markets head Filippo Emanuele has ‘outstanding technical ability and capacity to handle extremely critical situations in very little time’; he advised BNP Paribas, Bank of America Merrill Lynch, Deutsche Bank, Société Générale and UniCredit, as joint lead managers of a €600m bond issuance by Davide Campari-Milano. Lucio Bonavitacola is a regulatory specialist and Tanja Svetina is a securitisation expert.

Latham & Watkins LLP is particularly noted for its capacity to advise clients on US law. Recent highlights include working alongside London colleagues to advise Schumann on a high-yield bond notes issuance. Antonio Coletti has ‘deep knowledge of Italian legislation and great ability to manage client relationships during stressful times’; Jeffrey Lawlis has ‘excellent knowledge of US legislation and the technical aspects of debt matters’; and Maria Cristina Storchi is ‘very approachable and has good knowledge of Italy’s regulatory framework and market practice’. Ryan Benedict was made partner.

Linklaters’ DCM team advises corporate issuers as well as underwriters and arrangers. Dario Longo advised Banca Monte dei Paschi di Siena (as arranger) on Italian law aspects of a high-value note issue by Siena Lease 2016-2. Counsels Elio Indelicato and Linda Taylor are recommended, with the latter leading the international DCM practice.

BonelliErede has ‘an extremely responsive and knowledgeable practice’, which recently advised Ferrovie dello Stato Italiane on a Euro medium term note (EMTN) private placement. Milan-based Carlo Montagna and Rome-based Emanuela Da Rin are recommended along with Rome-based Massimiliano Danusso, formerly the Italian international capital markets head at Allen & Overy – Studio Legale Associato.

Regularly advising major banks and corporate entities in Italy, Chiomenti Studio Legale has strong covered bonds and mini-bonds practices, and is active in the ABS and structured finance securities industries. Rome-based Francesco Ago is recommended along with Gregorio Consoli, who advised UBI Banca on the annual update of its covered bond programme and an issuance thereunder. In Milan, head of finance Giulia Battaglia, Carmelo Raimondo and head of capital markets Manfredi Vianini Tolomei are also highly rated.

Legance – Avvocati Associati was recently active advising on the update of Euro and global medium term note programmes and issuances, as well as several small-cap bond issuances. Milan-based Andrea Giannelli and Emanuela Campari Bernacchi recently advised Agos Ducato on a €1.2bn consumer credit securitisation.

Orrick, Herrington & Sutcliffe’s ‘overall level of service is very good and the value for money is pretty outstanding’. The practice is particularly recommended for mini-bonds and securitisation work. Rome and Milan-based Patrizio Messina advised Snam on setting up a €12bn term note programme. Milan and London-based Madeleine Horrocks is ‘singled out for her technical ability and infinite patience’, and Rome-based Gianrico Giannesi ‘has strong legal knowledge, combined with good business acumen’. Raul Ricozzi is also recommended along with Rome-based securitisation and covered bonds expert Annalisa Dentoni-Litta.

Studio Legale RCC is recommended for its expertise in the issuance of debt securities and high-yield bonds; the practice has also developed significant experience in convertible instruments and liability management transactions. Paolo Calderaro - Michele Crisostomo and Marcello Maienza are recommended.

Standing out for its US, English and Italian law capital markets offering, White & Case (Europe) LLP recently advised Barilla Group on the $185m issuance of guaranteed senior notes. Ferigo Foscari, Iacopo Canino, Paul Alexander and Michael Immordino are recommended. Paola Leocani joined Studio Legale Associato in affiliation with Simmons & Simmons LLP.

Freshfields Bruckhaus Deringer has substantial experience in distressed debt transactions. Milan-based Corrado Angelelli advised CRIF on its €50m issuance and placement of notes. Emiliano Conio and Rome-based Raffaele Lener are also key names.

Gianni, Origoni, Grippo, Cappelli & Partners’ ‘professionals are responsive and highly skilled’. Rome and Milan-based Andrea Marani is ‘a prominent lawyer and very focused on client needs’. The team advised Morgan Stanley & Co International as sole underwriter on CLN’s €100m issuance of notes. Milan-based Richard Hamilton and Fabio Ilacqua are recommended along with Rome-based securitisation expert Stefano Agnoli.

Hogan Lovells Studio Legale is ‘well known in the finance market and provides a very high level of service’. Milan-based Corrado Fiscale – who is ‘pragmatic, flexible and pays attention to clients’ needs’ – recently advised the arrangers on a securitisation of lease receivables; Federico Del Monte specialises in structured finance.

At Studio Legale Associato in affiliation with Simmons & Simmons LLP, Michael Dodson worked alongside colleagues in Amsterdam to advise Banca IMI, as arranger, on the annual update of the Dunia repackaging programme. The firm hired Paola Leocani from White & Case (Europe) LLP.

Ashurst regularly acts on significant DCM, structured finance and securitisation deals in the Italian market. The team assisted Cassa di Risparmio di Asti, Cassa di Risparmio di Biella e Vercelli – Biverbanca and UniCredit Bank with a €553m multi-originator securitisation of residential mortgage loans. Milan-based Carloandrea Meacci is experienced in project bonds work. Gianluca Fanti joined White & Case (Europe) LLP.

DLA Piper’s Rome-based Italian DCM head Luciano Morello advises investment banks and European companies on the issuance of corporate bonds, including mini-bonds. Morello also advises banks and funds on asset securitisation transactions and covered bond issuances.

Jones Day’s Vinicio Trombetti is focused on securitisations, covered bonds and principal finance transactions. High-value work saw Piergiorgio Leofreddi advise the joint lead managers (Goldman Sachs International, Deutsche Bank, HSBC Bank, J.P. Morgan Securities and Monte dei Paschi di Siena Capital Services Banca per le Imprese) on the new BTP Treasury bond, issued by the Republic of Italy.

NCTM Studio Legale recently acted on highly visible bond issuances. Lukas Plattner in Milan is recommended.

Paul Hastings LLP’s highlights include advising UniCredit on the securitisation of claims, arising from mortgage loans. Alberto Del Din is the key contact.
