BonelliErede 'has excellent competence and the team always finds appropriate solutions to specific issues'. The practice includes equity offerings, flotations, privatisations and equity warrants; it recently assisted Esautomotion, EsaGroup’s operating holding company, with the admission to trading of ordinary shares to Borsa Italiana's multilateral trading facility, Aim Italia. Massimiliano Danusso divides time between Rome and London, Gianfranco Veneziano is 'really appreciated for his flexibility, prompt replies, technical skills and friendly approach', and Antonio La Porta  was made partner. Clifford Chance¬†advises on¬†prominent equity capital markets (ECM)¬†transactions, including¬†major IPOs in Italy and high-profile¬†capital raisings. Other areas of strength are¬†rights issues, exchangeable and convertible bonds, and block trades The practice advised the joint global coordinators and joint bookrunners on the¬†IPO and admission to listing of Pirelli on the MTA market; it also assisted Banca Carige with¬†its ‚ā¨1bn¬†capital strengthening plan, including a ‚ā¨560m capital increase.¬†Filippo Emanuele¬†co-heads the finance and capital markets practice and¬†Alberta Figari¬†and Paolo Sersale¬†are also key advisers. Gianni, Origoni, Grippo, Cappelli & Partners acts for issuers, selling shareholders and underwriters that are involved in initial and secondary public offerings of equity securities as well as in rights issues and listing procedures on Italian stock exchanges. The team advised K R Energy on its rights issues. The key advisers are Andrea Marani, Paolo Bordi and Fabio Ilacqua; Mariasole Conticelli was made partner.

Latham & Watkins LLP is particularly noted for its ability to advise on US law and the team regularly advises on large, cross-border transactions. Antonio Coletti and Ryan Benedict acted for Banca IMI, Credit Suisse, UniCredit and Banca Akros, as joint global coordinators and joint bookrunners, on the IPO of Gamenet Group's ordinary shares on Borsa Italiana. Jeffrey Lawlis and Maria Cristina Storchi are also key names; Isabella Porchia is a highly regarded counsel.

White & Case (Europe) LLP¬†advises on IPOs, rights issues, secondary offerings and equity-linked products (including exchangeable and convertible bonds). It acted for¬†Credit Suisse Securities (Europe), Deutsche Bank (London Branch) and Barclays Bank on Banca Carige‚Äôs ‚ā¨560m capital increase.¬†Ferigo Foscari¬†and Michael Immordino, who¬†divides his time between¬†London and Milan, are the principal advisers.¬†Piero de Mattia¬†was made partner and Robert Becker¬†is a notable associate.

With a particular focus on cross-border transactions, DLA Piper advises on IPOs, rights issues, tender offers, secondary offerings and convertible, equity-linked and hybrid instruments. Francesco Maria Aleandri advised the issuer on HSD's MTA listing.

Gatti Pavesi Bianchi Studio Legale Associato advises on significant IPOs and private placements. Anton Carlo Frau acted for Fondo Italiano d'Investimento, as selling shareholder, on the AIM Italia listing of DBA Group. Stefano Valerio and Rossella Pappagallo are also highly regarded advisers.

Legance - Avvocati Associati advises both domestic and international issuers and investors on ECM transactions and the team has significant experience in the MTA market and AIM market listing process. Giorgio Vanzanelli advised Quarantacinque on the launch of a voluntary tender offer for the outstanding shares of CAD IT, which is listed on MTA's Star segment. Marzio Ciani is an experienced senior counsel.

Lombardi Segni e Associati's Antonio Segni and Federico Vermicelli recently advised Goldman Sachs, Barclays, Credit Suisse, UniCredit and Banca IMI, as joint global coordinators and joint bookrunners, and Unicredit as sponsor, on the proposed IPO of Italo-Nuovo Trasporto Viaggiatori (an Italian private railway company) on the MTA market, which was later suspended.

Shearman & Sterling LLP¬†is able to cover US, English and Italian law matters. Highlights included advising¬†Anima Holding, as Italian and international counsel, on its ‚ā¨300m rights offering.¬†Tobia Croff¬†and Domenico Fanuele¬†are highly rated;¬†Emanuele Trucco¬†is an experienced counsel.

Cleary Gottlieb Steen & Hamilton LLP recently advised on private placements, capital increases, rights offerings and IPOs; recent work includes advising Malacalza Investimenti on Banca Carige's capital increase. Pietro Fioruzzi and Carlo de Vito Piscicelli are the names to note.

CMS' Italian ECM team is experienced in IPOs, equity subscriptions, rights issues, private placements and buy-backs; MSBiotech and Meti Capital are clients. Paolo Bonolis, Massimo Trentino and counsel Andrea Arcangeli are the key advisers.

Dentons recruited Antonella Brambilla from Chiomenti Studio Legale in late 2017; Brambilla, who is 'absolutely outstanding and demonstrates responsiveness, problem-solving capabilities and commitment', assists Italian and international clients with public offerings of financial instruments, stock exchange listings, takeover bids and exchange offers.

Giovannelli e Associati Studio Legale's Andrea Bartolucci  regularly advises issuers and underwriters on international and domestic ECM transactions. Fabrizio Scaparro assisted Aquafil with its listing on the Milan Stock Exchange.

Nctm Studio Legale frequently acts on AIM Italia equity offerings. The team advised Italo-Nuovo Trasporto Viaggiatori on its highly publicised proposed IPO, which was later suspended. Lukas Plattner is 'available and competent' and Andrea Iovieno is an experienced managing associate.
