Energy boutique Advocacia Waltenberg regularly acts for major Brazilian energy companies such as ABEEólica, EDP Energias do Brasil and Votorantim Energia, as well as wind, solar, hydro and biothermal power producers and consumers. The eight-strong firm, under the leadership of founding partner David Waltenberg, covers tax, administrative and contractual matters, as well as energy disputes.

Noted for its ‘exellent client service’, TozziniFreire Advogados covers a broad range of power matters, and has excellent renewable energy credentials. It advised private electricity transmission group TAESA on the negotiation of a joint venture with CTEEP for the joint participation in a transmission auction. China Three Gorges engaged the group to assist in its $1.2bn acquisition of Duke Energy’s Brazilian business, consisting of a portfolio of ten hydropower plants. On the contentious side, Norte Energia is a client. Heloísa Scaramucci ‘always finds the best solutions for her clients’.

Power heavyweight Ulhôa Canto, Rezende e Guerra Advogados acts on regulatory matters and transactions as well as administrative litigation and arbitration, with the team regularly joining forces with the firm’s tax, projects and infrastructure, and corporate departments. It advised Eletropaulo on requesting a reduction of contracted energy before ANEEL; and assisted Neoenergia and Geração Céu Azul, as concession holders for the Baixo Iguaçu hydropower plant, in requesting an extension of the concession term due to extraordinary floods and delays in the environmental licensing procedure. Practice head Isabel Lustosa and senior associate Alberto Büll da Silva assisted Camargo Corrêa and CPFL Energia in gaining ANEEL’s approval for State Grid’s acquisition of CPFL Energia.

Machado Meyer Sendacz e Opice Advogados’ infrastructure and natural resources group is renowned for its financing work, and has particular strength in the renewable energy sector. On the transactional support side, it advised Empresas Públicas de Medellín on a financing granted by BNDES for the acquisition of equipment for the construction of a major Colombian power generation plant. Another highlight, led by Ana Karina Esteves de Souza, was assisting Canadian Solar in the development of three solar power clusters. Cemig, Norte Energia and Samarco Mineração are also clients.

Mattos Filho, Veiga Filho, Marrey Jr. e Quiroga Advogados handles transactional and project finance work in the power sector, and also disputes. Highlights included advising Contour Global on the acquisition of all shares held by Neoenergia in six energy generation companies, and assisting Pátria Investimentos in relation to an ANEEL public auction. Pablo Sorj and Fabiano Ricardo Luz de Brito were involved in both matters, and also led advice to Enel Green Power Participações and Banco Santander on the first issuance of promissory notes by the former-mentioned company for the financing of three hydropower plants.

Particularly recommended for regulatory work in the electricity sector, Mundie e Advogados acts for an impressive roster of clients including BTG Pactual, Engie and Nova Energia. In 2016 it conducted due diligence for Engie concerning the acquisition of several wind projects, and assisted Linha Verde Transmissora de Energia in relation to the conclusion of the construction of a 900km transmission line connecting the Madeira Complex to the grid. The team also advised on long-term power purchase contracts and represented clients in disputes. Rafael Fabbri D’Avila is the name to note.

Veirano Advogados focuses on transactional and financing work, recently assisting development banks CAF and DEG in the $80m debt financing of a hydropower plant and transmission line jointly developed by Alupar Investimento and Peruana de Energía in Peru. In other work, it advised various international clients on regulatory matters. Ana Carolina Barretto and Tiago Figueiró are recommended. Roberta Bassegio left for Paul Hastings LLP in November 2015.

With an excellent track record in disputes in the power sector, Demarest Advogados represented electricity trading chamber CCEE in litigation filed by agents unable to generate the expected amount of energy, concerning the hydrological risks faced by hydropower generators. Practice head Rafael Gagliardi and senior associate Raphael Gomes also assisted Norte Energia in the preparation of contracts for the envisaged sale of energy from the Belo Monte hydropower dam.

Dias Carneiro Advogados leverages its financing expertise to advise both lenders and creditors on energy sector projects. It advised Solairedirect on regulatory matters, the construction and operation of photovoltaic power plants, and the drafting and negotiation of an EPC agreement for the construction of an energy substation. Ricardo Sanches is ‘always up to date with deals and market trends’, and ‘takes the broader context into account’. Thiago Vallandro Flores is also recommended. Ricardo Assaf joined from Renova Energia.

José Roberto Oliva, who was promoted to partner in January 2017, leads Pinheiro Neto Advogados’ electricity group. It advises clients such as CPFL Energia and Duke Energy on a broad range of matters, and is particularly recommended for disputes in the sector. Recent work includes representing electricity trading chamber CCEE in litigation brought by industry association ABRACE concerning production shortages of hydropower plants.

Schmidt, Valois, Miranda, Ferreira & Agel’s five-partner group was busy in 2016 advising on the development of power projects and the negotiation of power purchase agreements. It assisted Barcarena Geração de Energia and LMP Energy in the conversion of a coal power plant into a gas power plant. Guilherme Schmidt and Celina Ozorio are recommended.

Cescon, Barrieu, Flesch & Barreto Advogados is notable for its financing expertise in the sector, regularly acting on the lender side, and is also active in transactional support. Recent highlights include advising Triunfo Participações e Investimentos on the sale of two hydropower plants to China Three Gorges, and assisting Golar GenPower in the development of a thermoelectric power plant. The ‘knowledgeable’ Maurício Teixeira dos Santos, based in Rio de Janeiro, is recommended.

The power team at Tauil & Chequer Advogados in association with Mayer Brown has ‘a business-oriented approach to legal issues and deep knowledge of the industry’. Counsel Débora Yanasse displays ‘extraordinary attention to detail’ and is recommended along with Eduardo Lima. The group assisted Total in the acquisition of a number of thermo power plants, and advised GE Energy Financial Services on a R$600m bridge loan granted by Banco Santander to finance the construction of 14 wind farms.

Trench Rossi Wanatabe is highly regarded for corporate and transactional work in the power sector, with José Roberto Martins recently leading advice to Casa dos Ventos on the sale of 16 wind farms. The group also successfully assisted Enel Green Power in a public auction for the concession of the operation of hydroelectric power plants, and in regulatory matters arising after the award.

Campos Mello Advogados has a broad power practice, with ‘seasoned’ practice head Fabiano Gallo particularly active in corporate and M&A work in the sector. Recent work includes negotiating power purchase agreements and joint venture contracts for the development of power projects.

Well known for its flagship timberland investment practice, Gasparini, De Cresci e Nogueira de Lima Advogados has excellent biomass energy expertise. In other areas, it represented Grupo São Fernando de Energia in administrative proceedings before ANEEL relating to the failure to produce a contracted amount of energy. Aldo de Cresci Neto now co-leads the practice with Rafael Janiques, who joined from Advocacia Waltenberg in December 2016.

Leite, Tosto e Barros Advogados Associados’ public law group regularly advises on participation in electricity generation and transmission concession bids, and represents concessionaires in administrative proceedings. Tiago Lobão Cosenza is defending Bioenergy, which holds a concession to build and operate seven wind power generation parks, in administrative proceedings before ANEEL seeking to revoke the concession and levy penalties. Eduardo Nobre is another name to note.

Led by Maria João Rolim, Rolim, Viotti & Leite Campos Advogados gives ‘valuable advice on regulatory matters’. The power group represented Luziânia-Niquelândia Transmissora in administrative claims before ANEEL concerning force majeure exemptions and responsibility for construction delays. Other clients include Abeeólica, power commercialisation chamber CCEE, CPFL Energia and CEMIG.

Dispute resolution heavyweight Sergio Bermudes Advogados has a specialist power sector group including Vitor Ferreira Alves de Brito and associate Elena Landau. Clients include electric energy distribution organisation ABRADEE, CEMIG, Coelba and Enersul.

Siqueira Castro – Advogados’ litigation department has a specialist electric energy sub-group, which mainly represents power companies. The group also advised Itaguaçu da Bahia Energias Renováveis on the acquisition of aerogenerators, and assisted other clients in energy auctions. Fernando Villela de Andrade Vianna and Simone Paschoal Nogueira are recommended.

Soares Bumachar Chagas Barros Advogados acts for an impressive roster of clients including Complexo Carcará, Contour Global, Empresa de Energía de Bogotá, and Enel Green Power. It represented CTEEP in a dispute before ANEEL regarding the mandatory transfer of grid assets from transmission concessionaires to distributors. Rosilane Costa Barros is the key name.

Souto Correa Cesa Lummertz & Amaral Advogadospays attention to excellent service’, with experience in ‘a broad range of areas in the energy sector’. The ‘dedicated and knowledgeable’ Gustavo Kaercher Loureiro represented AES Tietê in a dispute before ANEEL concerning its obligation to buy energy from Itaipu. Rômulo Mariani is also recommended.

Mattos Filho, Veiga Filho, Marrey Jr. e Quiroga Advogados’ ‘business-oriented and fast’ group handles a variety of oil and gas work including financings, asset purchases, project developments, and contractual and regulatory matters. It assisted CELSE – Centrais Eletricas de Sergipe in negotiating a construction, operation and maintenance contract as well as an LNG supply agreement with General Electric for the construction of a 1.5GW combined-cycle power plant. On the transactional side, the team advised Ultrapar on its R$2.8bn acquisition of LPG unit Liquigás Distribuidora from Petrobras. Giovani Loss is ‘well connected’, and senior associate Felipe Rodrigues Caldas Feres is ‘outstanding’. Since publication, the firm has hired associate Danielle Ludwig from top tier rival firm Schmidt, Valois, Miranda, Ferreira & Agel.

Rio de Janeiro based Schmidt, Valois, Miranda, Ferreira & Agel is a Brazilian oil and gas heavyweight with excellent relations with other petroleum-rich Portuguese-speaking countries, particularly in Africa. 2016 highlights included advising Frade Japão Petróleo on the extension of the concession contract for the Frade Field exploration until 2041; and assisting AziLat Petroleum in relation to the farm-in agreement with OGX Petroleo e Gas for offshore assets. Within the 18-lawyer team, Paulo Valois Pires is ‘very experienced’ in regulatory matters in the sector. Antônio Luís de Miranda Ferreira, Sonia Agel and Rogério Sobral de Miranda are also recommended, along with associate Danielle Ludwig. The firm split from its former São Paulo office, which now acts under the name of L.O. Baptista Advogados. Swift and efficient’, Cescon, Barrieu, Flesch & Barreto Advogados has ‘in-depth industry and practical knowledge’, combining its experience in the oil and gas sector with its banking and finance expertise. Rafael Baleroni led advice to Pacific Brasil on ceasing activities in Brazil, including farm-out negotiations of eight offshore blocks. In addition to further farm-out matters and financings, the group also assisted a number of clients in unitisation negotiations. Luis Antonio Semeghini de Souza and Maurício Teixeira dos Santos are also recommended.

A highly recommended firm for oil and gas work in Brazil, Tauil & Chequer Advogados in association with Mayer Brown also has excellent international exposure. Recent highlights include advising Sinochem Petróleo Brasil on the potential assignment of its participating interest in two exploration blocks to Perenco; and assisting alumina refinery Alunorte in the structuring of an LNG project to provide gas to its facilities and potentially to other customers. Alexandre Chequer and Victor Galante are recommended. Leonardo Costa is now with Campos Mello Advogados.

Working closely with an excellent corporate and M&A group, Trench Rossi Wanatabe’s oil and gas team was busy on transactional matters in 2016. Another area of focus is dispute resolution, with the team recently representing Petrobras, BP and Petrogal in an arbitration against oil agency ANP regarding the classification of the oil reservoirs of Lula as one or several fields for purposes of calculating royalties. Anna Tavares de Mello and Danielle Valois are the names to note.

In 2016, Veirano Advogados was active in M&A transactions, the acquisition of oil and gas assets, and the formation of joint ventures. It also has experience in auctions for exploration blocks and tender procedures for the procurement of products and services. Luis Fernando Pacheco is recommended.

Covering a broad range of oil and gas matters, Vieira, Rezende, Barbosa e Guerreiro Advogados’ four-partner practice includes the highly recommended Daniela Ribeiro Davila and Alexandre Calmon. It is particularly recommended for offshore work, where it collaborates with the firm’s shipping practice.

On the M&A side, Leonardo Costa, who joined from Tauil & Chequer Advogados in association with Mayer Brown, advised National Oilwell Varco on the acquisition of Fjords Processing’s Brazilian business from Akastor. The ‘excellentDaniel Szyfman leads Machado Meyer Sendacz e Opice Advogados’ oil and gas group, which has taken on a significant role advising Petrobras on its divestment; its work has included assisting the client in forming a strategic alliance with Total for the sale of a $2.2bn asset package, and advising it on the sale of over 100 onshore E&P blocks to multiple buyers. Other clients include Chevron, Parnaíba Gás Natural, and Shell.

The ‘hardworking, easy-going and well-prepared’ lawyers at Pinheiro Neto Advogados focus on M&A deals in the oil and gas sector, recently advising Royal Dutch Shell on the acquisition of BG Group’s share capital. On the contentious side, the firm defended Chevron in litigation regarding recognition of a $9bn fine award rendered in Ecuador. Marcelo Viveiros de Moura is ‘brilliant’.

Led by João Luis Ribeiro de Almeida, Demarest Advogados has been particularly active in financing transactions in the oil and gas sector. Its recent contentious work includes defending Comgás in class actions filed by industry associations Abrace and Abividro seeking to lower the client’s remuneration for the distribution of gas.

MMA Lawyers, under the leadership of name partner Marcelo Oliveira Mello, advises across a broad range of oil and gas matters. On the contentious side, it is representing pipe manufacturer Apolo Tubulars in various contractual disputes.

Higly recommended for disputes in the sector, Siqueira Castro – Advogados is representing Gasmig in a dispute with infrastructure and transport department DNIT concerning the interference of planned infrastructure projects with the client’s gas transportation ducts. Pinheiro Neto Advogados’ lawyers have ‘superb business acumen, profound industry knowledge, and an excellent network’. The group regularly acts on financings on both the lender and borrower sides, and recently assisted Sprott Resource Lending on extending a financing to Jaguar Mining. Other recent highlights include advising Galvani in relation to the development a phosphates mining project, and assisting China Molybdenum in its acquisition of Vale’s niobium and phosphates operations in Brazil. ‘Dedicated, accessible and knowledgeable’ practice head Carlos Vilhena and counsel Adriano Drummond Trindade are recommended.

One of the most renowned teams in Brazil’s mining sector is Pedro Garcia’s group at Veirano Advogados, which is particularly experienced in M&A and private equity transactions in the sector. Garcia led negotiations on behalf of Centaurus for an earn-in agreement for gold and copper prospects forming the so-called Pará Exploration Package held by Terrativa Minerais. Another highlight was advising Luna Gold on entering into a joint venture with AngloGold Ashanti for the exploration and exploitation of mining targets in the state of Maranhão. Azevedo Sette Advogados’ Belo Horizonte based mining group has an impressive client portfolio including Ferro+ Mineração, Jaguar Mining, Luna Gold and Samarco Mineração. With an active disputes practice, the group recently defended Anglo American in litigation brought by Mineração Trindade concerning alleged breach of a shared mineral rights assignment contract. Fernando Azevedo Sette, Leonardo Pereira Lamego and Leonardo Farinha Goulart are the names to note.

Mining and environmental boutique William Freire Advogados regularly conducts due diligence on mining rights, assists clients in establishing mining companies, and advises on the strategic management of mineral assets. The firm also has a specialist mining tax team and represents clients in administrative proceedings, litigation and arbitration. Its impressive client portfolio includes Lipari Mineração, Mineração Ibirité, Amarillo do Brasil Mineração, and Bahia Mineração. Founding partner William Freire and Tiago de Mattos Silva are the key names.

Belo Horizonte based Mendo de Souza Advogados Associados has a growing reputation for handling the full spectrum of mining sector work, including contractual, regulatory and contentious matters. Name partner Marcelo Mendo Gomes de Souza and Maurício Pellegrino de Souza are the standout names.

At Rolim, Viotti & Leite Campos Advogados, Thiago Pastor and his five-strong team advise mining sector clients on a broad range of matters, often assembling a multi-disciplinary team. Recent highlights include advising Vale on the development of an iron ore mining project on indigenous territory; and assisting Tamasa Engenharia in relation to the extraction of mineral substances for immediate use in public infrastructure construction. Other clients include AngloGold Ashanti, Kinross and Yamana Gold.

Rio de Janeiro based Schmidt, Valois, Miranda, Ferreira & Agel, which recently split from L.O. Baptista Advogados, benefits from an excellent network across other Lusophone countries. The group has a strong record in greenfield mining projects, and is regularly instructed by mining companies on regulatory matters. Márcio Silva Pereira and Rogério Sobral de Miranda are particularly recommended.

A firm focused on energy and natural resources matters, Sion Advogados has recently assisted clients in negotiating leases of mining rights and sale and purchase agreements relating to natural resources. Founding partner Alexandre Sion also represents clients in mining disputes.

TozziniFreire Advogados’ work in the sector in 2016 included due diligence exercises and financing matters. The six-strong group, which is led by Luiz Fernando Visconti, also advised Brasil Kirin on the assignment of a mineral water production facility to a third party, and assisted Vonpar in an assignment of mining rights to Femsa.

On the contentious side, it is defending Bunge Fertilizantes in indemnification litigation filed by neighbours whose health was allegedly affected by mining activities through the intake of barium-contaminated water.
