Machado Meyer Sendacz e Opice Advogados has one of the largest projects and infrastructure teams in the market, regularly acting on air, rail, road, water, energy and other projects. The firm advised Overseas Private Investment Corporation on the regulatory, environmental, real estate and contractual aspects relating to the operation and financing of Brazil’s first private oil transshipment terminal. José Virgílio Lopes Enei has ‘deep knowledge of project finance and fundraising’, and co-heads the team with José Ribeiro do Prado Júnior. Mauro Bardawil Penteado and Adriano Schnur Gabriel Ferreira are also recommended.

The ‘very experienced’ team at Mattos Filho, Veiga Filho, Marrey Jr. e Quiroga Advogados combines public sector and project finance expertise. It advised Petrobras on the sale of 90% of the outstanding shares in Nova Transportadora do Sudeste to Nova Infraestrutura FIP, for over $3.5bn. Another highlight was acting for Banco Itaú BBA, Banco ABC Brasil, Banco Société Generale Brasil and Inter-American Development Bank on the financing of the development of five photovoltaic power plants in the state of Minas Gerais. Pablo Sorj and Bruno Werneck are recommended.

With an excellent reputation in project finance, Cescon, Barrieu, Flesch & Barreto Advogados’ ‘proactive’ and ‘excellent’ team was busy in 2017. Among its highlights, it advised BNDES on the privatisation of MS Gas and the restructuring of the gas regulatory framework in the state of Mato Grosso do Sul. Maurício Teixeira dos Santos and Karin Yamauti Hatanaka are highly rated members of the team. The firm changed its name after the departure in January 2018 of Luis Semeghini de Souza, who is now a sole practitioner. Alecia Bicalho joined from now-defunct firm Motta & Bicalho.

The ‘great’ projects team at Dias Carneiro Advogados acts for international clients such as Vestas Wind Power, China Development Bank and Inter-American Development Bank. A recent highlight was assisting Solairedirect in the negotiation of agreements with Cubico Sustainable Investment concerning the sharing of a transmission grid and substation. Ricardo Sanches has ‘incredible negotiation skills and know-how’, and Thiago Vallandro Flores is also recommended.

Pinheiro Guimarães – Advogados has notable project finance expertise, and is appreciated for its ‘business acumen and industry knowledge’. A transactional highlight was advising EDF EN do Brasil on its acquisition of an 80% stake in six photovoltaic power projects from Canadian Solar. The group also assisted EDP Energias do Brasil in participating in a transmission line concession auction. André Sigelmann is recommended.

Pinheiro Neto Advogados has significant expertise when it comes to large energy and infrastructure projects. Among its transactional support work, it advised Petrobras on the sale of 90% of its shares in Nova Transportadora do Sudeste to Brookfield Infrastructure Partners, with the group coordinating the due diligence and analysing the regulatory aspects of the transaction. José Luiz Homem de Mello, Ricardo Coelho, Júlio César Bueno and Marcello Portes da Silveira Lobo are all recommended.

Stocche Forbes Advogados is notable for its work in transactions and financings in the infrastructure sector, and is valued for its ‘very good service’, ‘efficiency’ and ‘deep knowledge’. It is assisting Mubadala Investment Company on the acquisition of convertible debentures issued by Investimentos e Participações em Infraestrutura. Another highlight was advising Banco do Brasil and Caixa Economica Federal on the restructuring of its financing facilities. Guilherme Forbes and Miriam Signor are recommended. Marcos Castro and Paulo Padis have both left the firm.

Tauil & Chequer Advogados in association with Mayer Brown has extensive international ties and regularly acts on large infrastructure and construction projects. With particular expertise on the financing side, it is advising Banco Credit Agricole do Brasil, Banco Santander, Banco BTG Pactual and Banco ABC Brasil on an ongoing infrastructure project, including in relation to new security, guarantees from existing sponsors and potential investments by new investors. The ‘agile’ and ‘supportiveEduardo Lima is recommended alongside Bruno Aurélio.

TozziniFreire Advogados’ project and finance team is highlighted for its ‘very good overall level of service’. While it has particular expertise in the oil and gas sector, it also covers infrastructure projects in other areas. It recently assisted Consbem, as part of a consortium, in undertaking feasibility studies for the concession of the operation and maintenance of lines 8 and 9 of the metro network in São Paulo’s metropolitan region. Antonio Felix de Araujo Cintra and Pedro Seraphim co-head the team.

Veirano Advogados regularly acts in large infrastructure projects. In 2017 it advised Move SP as concession holder for São Paulo’s sixth subway line on the implementation of the project. Ana Carolina Barretto and Pedro Freitas are standout names in the team, which saw the promotion to partner of Rogerio Campos in January 2018.

Azevedo Sette Advogados is a public law specialist, and regularly handles concession matters. Recent examples include assisting Cataratas do Iguaçu and Radar PPP in the structuring of a São Paulo municipality concession for obtaining studies for the revitalisation, modernisation, operation, maintenance and management of municipal parks. The ‘competent and professionalFrederico Bopp Dieterich is recommended alongside Leonardo Moreira Costa de Souza and Rafael Adler.

Recent work for BMA - Barbosa, Müssnich, Aragão includes advising on the financing of wind farms and transmission lines. The group has both project finance expertise, with Camila Goldberg and Rafael Dutra the standout names, and experience in public law matters, for which Eduardo Hayden Carvalhaes Neto is recommended.

Demarest Advogados added a multitude of new clients to its roster in 2017, including Global Infrastructure Partners, Terminal Link and Terminal Investments. The group advised Azul Linhas Aéreas Brasileiras on the formation of a joint venture with Correios to create an air cargo company focused on e-commerce. It also advised Cia de Ferro Ligas da Bahia - Ferbasa on its acquisition of BW Guirapá from Santander Investimentos and Brazil Wind. Renato Poltronieri is recommended. Port sector specialist André Luiz Freire joined from Machado Meyer Sendacz e Opice Advogados.

Felsberg Advogados counts Gransolar Group and Companhia Energética de São Paulo among its clients. Maria da Graça is the name to note for project finance, while Daniel Engel and Fábio Luiz Peduto Sertori are experts in infrastructure projects. Rodrigo Bertoccelli joined in March 2018 from an in-house position at GS Inima Environment.

Paulo Valois Pires and Rogério Miranda are the names to note at Schmidt, Valois, Miranda, Ferreira & Agel Advogados. Alongside its energy sector work, the group is assisting Terminal Portuário do Mearim in relation to the redefinition of the Mearim Port Terminal project. Other recent work includes advising GPC Química on the preparation of guidance concerning the decommissioning and withdrawal of certain equipment from an industrial unit in Rio de Janeiro.

Trench Rossi Watanabe has a team of experts in multiple areas including M&A (Anna Tavares de Mello), oil and gas (Danielle Valois), and public law (Heloísa Barroso Uelze). As well as handling numerous M&A transactions in the energy sector, the group advised airport Riogaleão on the structuring of various commercial contracts. José Roberto Martins leads the team.

São Paulo based Arap, Nishi & Uyeda Advogados is a specialist public procurement practice, and regularly handles projects in a variety of sectors. Massami Uyeda Junior and Sami Arap Sobrinho are the names to note.

Particularly recommended for dispute resolution, Leite, Tosto e Barros Advogados Associados is a prominent firm in the energy sector and is regularly instructed by concession holders such as TBE - Transmissoras Brasileiras de Energia and Alupar. Eduardo Nobre is recommended.

Lobo de Rizzo Advogados broadened its projects and infrastructure practice with the arrival of public law expert Rodnei Iazzetta from Arap, Nishi & Uyeda Advogados in January 2018; the group now covers the full life cycle of projects from a public law as well as project finance perspective, with Fabrizio de Oliveira Sasdelli and Milton Pinatti the other two partners in the team. Recent work includes advising Atlantic Energias Renováveis on the financing of wind farm projects.

Active in a broad range of infrastructure projects, the team at Manesco, Ramires, Perez, Azevedo Marques Sociedade de Advogados is both ‘responsible’ and ‘flexible’. Adriana Roldan Pinto de Lima, Marcos Augusto Perez and Tatiana Matiello Cymbalista are recommended.

Perlman Vidigal Godoy Advogados is experienced in advising on the use of capital markets instruments in the financing of infrastructure projects. Founding partners Marcelo Giovanni Perlman and Luciano de Souza Godoy are ‘very committed’.

Belo Horizonte based Luis Gustavo Miranda leads the projects and infrastructure team at Rolim, Viotti & Leite Campos Advogados. It recently advised Fiat Automóveis on an agreement with the public prosecutor’s office and several environmental authorities regarding the implementation of the Cavernas do Peruaçu national park.

Siqueira Castro – Advogados provides ‘quick and adequate replies’, and acts for clients such as Petrobras, NUCLEP and Fraport. It assisted the latter in relation to the airport concession bidding round, with the client successful in relation to both Porto Alegre and Fortaleza. Fernando Villela de Andrade Vianna is recommended. Renata de Abreu Martins and Rodrigo Alexander Calazans Macedo made partner in 2017.

Caio Farah Rodriguez is the name to note for public procurement matters at Barros Pimentel, Alcântara Gil, Rodriguez e Vargas Advogados, which is highly recommended for healthcare and TMT projects.

The ‘extremely agile’ team at Campos Mello Advogados stands out for its expertise in the financing and development of renewable energy projects. It recently assisted Scatel Solar in relation to four solar photovoltaic plants, advising on due diligence, the negotiation of transaction documents, and corporate and contractual matters. Fabiano Gallo is recommended.

Cascione, Pulino, Boulos & Santos Advogados has strong expertise in regulated industries, and acts for an impressive roster of clients including Grupo Gransolar, Goldwind International Holdings and American Airlines. It assisted the latter client in negotiations with GRU Airport regarding an agreement for the construction, implementation and operation of an aircraft maintenance hangar. Milana Martins and Marcos Pulino are the names to note.

Dal Pozzo Advogados has an ‘excellent’ practice across concessions and public services, public private partnerships and project finance, and counts CART, Rota das Bandeiras and ViaRondon among its clients. Founding partners Antonio Araldo Ferraz Dal Pozzo and Augusto Neves Dal Pozzo are recommended.

Noted for its ‘high competence’ and ‘legal expertise’, Justen, Pereira, Oliveira & Talamini Advogados regularly acts for concession holders in procurement matters, contract negotiations and disputes.     AVELLUM acted as the Ukrainian legal counsel to Private Joint Stock Company with Foreign Investments “Slobozhanska Budivelna Keramika” (“SBK ”) in connection with the restructuring and refinancing of SBK’s debt, valued at approximately EUR20 million.   • Confidentiality Under Renewed Focus

    The UAE federal government has recently issued a raft of important legislation, addressing and in many ways updating areas of law that are key to businesses in the jurisdiction. Amongst this legislation is Federal Decree-Law 14 of 2018 concerning the central bank and the organisation of financial institutions and activities (the New Banking Law ) and Federal Decree-Law 20 of 2018 concerning anti-money laundering and anti-terrorism financing (the New AML Law ). Both the New Banking Law and the New AML Law repeal and replace the previous legislation on their respective subjects. Importantly, the New Banking Law and the New AML Law have together enhanced the protection afforded to confidential information under UAE law, in particular where financial and legal service providers and their customers and clients are concerned. 
  • Israel Chapter in The Virtual Currency Regulation Review

    Earlier this year, the Israel Tax Authority (ITA) issued two circulars, one on the taxation of digital tokens and the second addressing the taxation of utility tokens in initial coin offerings (ICOs). Additionally, in March, the Israel Securities Authority (ISA) released a detailed interim report by the Committee for the Regulation of Public Offerings of Decentralized Cryptocurrency Coins (Report) (with a follow-up report due to come out around October 2018). Moreover, it is expected that before the end of 2018, legislation will come into force that for the first time will see Israeli primary legislation define virtual currencies as financial assets and mandate licensing for related services, as is later discussed in detail.
