Schoenherr advises NEXI on signing agreement with Intesa Sanpaolo regarding merchant acquiring business in Croatia

Schoenherr advised NEXI S.p.A. (“NEXI”) on reaching an agreement with Privredna banka Zagreb d.d. (“PBZ Bank”) and PBZ Card d.o.o. (“PBZ Card”), a Croatian company indirectly controlled by Intesa Sanpaolo S.p.A., to purchase PBZ Card’s merchant acquiring business in the Croatian market, for consideration of EUR 180m.
Schoenherr assisted NEXI with the due diligence, extensive business operational structuring and preparation and review of transactional documentation.

Founded in 1939, NEXI is a payment services provider offering merchant acquiring, card issuing and digital banking services across Europe. NEXI’s services cover the entire payment chain, excluding the card scheme. It offers its acquiring and issuing services in partnerships with banks, providing point-of-sale terminals, processing or issuing services on their behalf, or directly to merchants.
