Link Legal advised and assisted Slintel Inc., in its acquisition of equity by 6Sense, through a 2-step merger process. In October 2021, a USA based entity Slintel Inc., along with its wholly-owned India subsidiary Slintel India Private Limited (collectively “Slintel”), was acquired by another USA based entity 6Sense (“6Sense”), by way of a two-step merger process (“Merger”). As part of this Merger, the existing shareholders of Slintel were offered part cash and part shares in another existing offshore group entity of 6Sense, in lieu of their shares in Slintel. The shareholders of Slintel also included certain resident Indian shareholders employed with the Indian subsidiary of Slintel.

Slintel is the leading provider of business-driven technographic data, buyer and market insights, and modern business contact data. 6sense is engaged in providing an account engagement platform for helping B2B organizations in achieving predictable revenue growth by putting the power of AI, big data, and machine learning behind every member of the revenue team.

Link Legal, led by its Corporate Partner Ketan Mukhija, Associate Partner Gaurav Priyadarshi, Associate Partner Aditya K Singh, and Senior Associate Apurv Ranjan assisted Slintel in the effective closing of the transaction, focusing on the Indian jurisdictional leg of the Merger. The scope of work broadly involved review, negotiation and finalization of transaction documentation, assisting and advising Slintel on the applicable regulatory compliance with the exchange control regulations, as also general Indian law advisory on applicable corporate compliance and coordinating with Indian banks on investment related issues.
