CCSL Advogados advises Viriato on acquiring Effisus

 Viriato Capital has acquired Effisus, a Portuguese-based company with offices in the United Kingdom and the United Arab Emirates.

Viriato Capital was advised by a multidisciplinary team at CCSL Advogados headed by Mafalda Almeida Carvalho, Corporate and M&A partner. CCSL coordinated the multi-jurisdiction transaction with legal teams from Ontier (Spain), Farrer & Co, L&S Law Firm and Cooley UK (United Kingdom), and Al Tamini & Co (Dubai).

Effisus was founded in Famalicão in 2005 by Pedro Carvalho and Paulo Carvalho. The company develops and markets integrated solutions for the construction industry that improve energy efficiency in buildings and provide water and fire protection to façades and roofs. Effisus waterproofing solutions can be applied in countless situations, from cladding high-rise façades to stopping leaks in gutters, skylights, window frames, joints and penetrations.

Effisus ended 2023 with a turnover in excess of 10 million euros. Exports account for the majority of the company’s turnover, whose main international markets comprise the United Kingdom, the United Arab Emirates, Saudi Arabia, and Spain. Currently, Effisus has approximately 40 employees in Portugal, the UK, and Dubai.

Its portfolio of unique systems for cladding building façades and roofs includes dozens of projects, including Apple’s headquarters in California, the iconic Museum of the Future and the Burj Al Arab hotel in Dubai, the Guggenheim Museum in Abu Dhabi, Google’s new headquarters in Dublin, the Santiago Bernabéu stadium in Madrid, Hudson Yards in New York, Battersea Power Station in London, and the Riyadh Metro in Saudi Arabia.

Viriato Capital, led by Miguel Costa Freire and Pablo Alvarez Guerra, is an independent investment vehicle backed by national and international investors, looking to invest in robust, healthy companies with high growth potential. As part of Viriato Capital’s strategy, the investment in Effisus will boost the company’s growth by strengthening its position in current markets and developing new ones. Viriato Capital will also follow in Effisus’ footsteps by continuing to develop solutions that contribute to improved sustainable energy efficiency in buildings and environmental protection – mindful that the name Effisus derives precisely from the combination of the words “Efficiency and Sustainability”.

Miguel Costa Freire and Pablo Alvarez Guerra will join and lead the current Effisus management team, bringing in their management, strategic consulting and financial experience and know-how acquired in global consultancy firms, such as McKinsey & Co., J.P. Morgan, Bain & Co. and Nestlé. Effisus’ founders, Paulo Carvalho and Pedro Carvalho, will remain in the Effisus team.

Effisus’ founders were advised by the law firm Teixeira & Guimarães – Sociedade de Advogados led by partner João de Sousa Guimarães, the consultancy firm Hub Advisory (Spain) and the law firm Taylor Wessing (UK).
