Our M&A team conducted comprehensive vendor due diligence and advised on transaction structuring, including matters related to shareholder loans. We led the drafting and negotiation of the SPA as well as complex intellectual property agreements, such as trademark assignment and transitional license agreements. In coordination with the financial advisors, we provided strategic input on various aspects of the transaction. Additionally, we delivered hands-on support throughout the closing and post-closing phases, ensuring a smooth, efficient, and risk-managed process for all shareholders involved.
