In September 1983 he joined Barrera, Siqueiros y Torres Landa (now Hogan Lovells BSTL) where he became a partner in 1995. He was also a foreign associate attorney at a law firm in Washington, D.C. in 1990. REPRESENTATIVE EXPERIENCE Advises foreign investors who come to do business in Mexico to facilitate all stages of birth, development, expansion and consolidation. President of the Harvard Club of Mexico (1999-2000), and Secretary of México Unido Contra la Delincuencia (2005 to date). He actively takes part in Pro bono activities at the firm. He has been an assistant and full time professor at universities such as: UNAM, ITAM and Universidad Iberoamericana. He has also lectured extensively in Mexico and abroad in professional forums. He enjoys running and actively participates in 10K, 15K, half and full marathons.

Hogan Lovells US LLP has a somewhat unique platform with a core team of Latin America specialists based across its Mexico City, Monterrey, São Paulo, Miami, Houston, New York and Washington DC offices. Clients include Aeromexico, Banorte, EnerAB, Ford Motor Company, General Electric, Petroamazonas, Petrobras, Pemex and Sealed Air Corporation. The firm continues to advise Pemex on its joint venture agreement with Australian natural resources company BHP Billiton to develop the deep-water Trion Block in the Gulf of Mexico in what is Pemex’s first exploration and production farm-out project in association with a foreign company. In addition, it advised Ecuadorian state-owned company Petroamazonas in the restructuring of $1.5bn in payments owned to contractors. The Latin America team also advised infrastructure development provider, ISA, on its agreement to invest up to $80m in Andean Tower Partners Holdings (ATP), a private owner of wireless communication towers and equipment in Colombia and Peru, to fund the expansion of ATP’s telecoms network infrastructure in the two jurisdictions. Carlos Ramos Miranda, Juan Francisco Torres Landa and Federico De Noriega are key figures in Mexico City, while Miami’s José Valdivia is co-chair of the Latin America practice group and an experienced figure in Latin America M&A.

Bankruptcy and restructuring

The 14-strong bankruptcy and restructuring practice at Hogan Lovells BSTL relies on its reach from offices in Mexico City and Monterrey, and on its varied expertise across financial practices and commercial litigation, to advise creditors and debtors on voluntary and involuntary bankruptcies and financial restructuring proceedings. Drawing on its niche expertise in sub-sovereign financing, the team assisted the state of Zacatecas with obtaining a $377m credit from Banorte and Banobras for the purpose of refinancing its public debt. In another case, this time on the side of Banorte, it closed Fibra Uno’s MXN$2.7bn credit facilities, obtained from the client. Ongoing cases include advising creditors Banco Bradesco and Banco Votorantim in the bankruptcy of Desarrolladora Homex – the former on collecting its consideration following a ruling recognising the client as creditor, and the latter on a successful commercial complaint filed against Homex following the client obtaining full recognition of the credit it was owed. Practice co-head and commercial litigation and bankruptcy specialist Omar Guerrero led these last two cases. He is based in Mexico City, as is fellow practice co-head Federico de Noriega, who focuses on financial transactions, including out-of-court restructurings, and who continued to advise Banco de Chile on the bankruptcy proceeding of Corporación Geo. Also a key practitioner, finance specialist René Arce Lozano is based in Monterrey; he assisted the state of Zacatecas and Banorte. Support also comes from corporate partner Juan Francisco Torres Landa, as well as from Jorge Valdés King (who recently made partner) and counsel Luis Peón; both are bankruptcy and commercial litigation specialists. Recent highlights include advising Jaguar Land Rover on the $10m acquisition of its Mexican importer and distributor, GDV Imports and GDV Servicios. Hogan Lovells BSTL’s energy credentials are reflected in the quality of the clients it works for, both on the oil and gas and power side. Its relationship with Pemex is generating a significant amount of work, such as advising on the migration of existing allocations into exploration and extraction contracts, as well as farm-outs in other upstream projects. In the electricity sector, the firm assisted Liberty Power in securing a qualified supplier permit. Another highlight was representing Ener AB on the acquisition of a Mexican renewables project. The firm fields several partners with strong reputations, notably Carlos Ramos Miranda for upstream matters, and Miguel Ángel Mateo Simón and managing partner Juan Francisco Torres Landa on the corporate side.

The four-strong IT&C team at Hogan Lovells BSTL covers international trade/WTO procedures and customs, including anti-dumping, customs consultancy, administrative procedures and litigation; it can also call on the firm’s expertise in tax. Recent highlights saw the group working on both new and ongoing cases, namely advising Nissin Foods Products and Química Foliar in separate cases concerning machinery seizures by the tax and customs authorities for alleged lack of legal importation and permanence documentation; Mccord Payen de México before the tax authorities in a case relating to VAT triggered by a bonded warehouse import; Pilgrim’s Pride in a NAFTA Chapter XIX review opposing a Ministry of Economy determination imposing anti-dumping duties on chicken leg imports from the US; and AdvanceSix, also in a NAFTA Chapter XIX panel review, following the client’s acquisition of the resins and chemicals division of Honeywell International. The trade practice is co-led by Mario Jorge Yañez and Juan Francisco Torres Landa, while tax partner Arturo Tiburcio leads on customs matters, with support from Yáñez. The three partners are supported by senior associate Mario Alberto Lara, who handles international trade treaties and non-tariff matters, anti-dumping, and related tax litigation. Other clients include Lufthansa, Givaudan, Mitsubishi, Samsung Electronics, Federal Mogul, JM Smucker, Tempur Sealy, Hewlett Packard, Gerdau, Gemalto, Gates Rubber, Bacardi, Rich Products Corporation, and First Solar.

Real estate

The ‘excellent’ multidisciplinary real estate team at Hogan Lovells BSTL is made up of twelve lawyers who ‘have full knowledge and experience of the issues in question, dealing with each one with due seriousness and responsibility, and presenting answers and strategies that are clear and results that are optimal’. Moreover, the lawyers ‘treat matters as if they were their own, taking responsibility from beginning to end, thereby building trust’. With offices in Mexico City and in Monterrey – as well as with its international network – the firm covers the full range of the real estate panorama, including industrial, tourism and hospitality, retail and commercial, residential and agrarian. The team also undertook some FIBRA work last year, as well as carrying out the Mexico-based real estate aspects of cross-border M&A operations, as well as disputes arising from real estate operations and related real estate financing. Among the team’s recent work was the preparation and negotiation of a $12m lease agreement for Gates de México to relocate its facilities in Toluca, as well as assisting Duracell with drafting and negotiating the lease and construction of its offices in Santa Fe, Mexico City. Both cases were co-led by Ángel Domínguez de Pedro and Juan Francisco Torres Landa, practice head and Mexico City managing partner, respectively. Torres Landa also covers corporate and M&A, energy and environment, bankruptcy and restructuring, and international trade and customs. Domínguez de Pedro, together with counsel Fernando Medina Luna, is considered an ‘expert in real estate matters. They make an extraordinary team, with a sense of urgency and always putting the client first’. One client further appreciates Medina Luna for his ‘focus on our requests and excellent follow-up’. While these three lawyers are based in Mexico City, Guillermo González practices from Monterrey where his caseload is heavily skewed towards the industrial sector, including the automotive industry, although recent matters also included hospitality and retail. Other work involved lease and construction agreements, due diligence and purchase agreements, built to suit lease agreements, and portfolio development. Clients include Ford Motor Company, Wal-Mart de México, Parks Desarrolladora, Procter & Gamble Manufactura and AstraZeneca.

  • Notorious Marks

    Notorious marks or the declaration thereof, has always been an issue widely discussed in Mexico by the IP legal community. This is so because provisions of the Paris Convention dealing with this topic have for a long time been uses as an effort to cancel or nullify trademarks registered by Mexican authorities without really making an extensive evaluation of proposed denominations and without examining in depth if such marks may be potentially affecting rights acquired by third parties elsewhere. So, a specific regulation and legal frame that at least tries to resolve this issue is always a good start in the right direction.

Is Mexico not a country that the global economic standstill is or will affect? The answer is, not really. Are Franchises in Mexico currently experiencing a boom? Perhaps. Are Franchises becoming an important aspect in Mexican economy? Certainly.

    Advertising in Mexico is governed by multiple bodies of law including for at least seven Federal Laws, five Regulations also of Federal application, a number of the so-called Mexican Official Standards (NOM's) and certain other laws and regulations applicable into specific States within the Republic of Mexico. All of them are focusing to establish the form and manners for producing and communicating advertising of products and services in Mexico.

    It has been well publicized in the Mexican media over the last few months that the General Customs Administration (AGA) and the Mexican Institute of Industrial Property (IMPI) are planning to launch a customs trademark registry, as a short-term solution to increase protection for trademark owners against the import of infringing and counterfeit products.

    The evolution in the protection and enforcement of IP rights has also reached the Mexican practice. The traditional ways of defending a registered trademark on a non use contentious procedure have developed.
