Advised BTB Marketing Private Limited and its promoters on the acquisition of The Beer Café by B9 Beverages Private Limited (Bira) in a swap deal.  The Beer Café operates India’s largest alcobev restaurant chain. As part of the transaction, the Firm advised on issues under the foreign exchange management regulations and drafted, negotiated and finalised the transaction documents.

Phoenix Legal advised Sojitz Corporation on its follow on investment in Intelligent Retail Private Limited, which operates the distribution and logistics platform ‘Ripplr’, as part of a US$ 40 million Series B fund raise round, alongside other investors such as Bikaji, Neo Foods, 3one4 Capital, Zephyr Peacock, Stride Ventures, Alteria Capital, Northern Arc Investments and Trifecta Capital. With the additional investment, Sojitz becomes the sole largest shareholder of Ripplr.

Phoenix Legal advised Matrix Partners on its follow-on investment in USD 46 million Series C funding round in Chifu Agritech Private Limited (Vegrow). The Series C funding round was led by Singapore sovereign wealth fund, GIC. Existing investors, including Prosus Ventures, Elevation Capital and Lightspeed Venture Partners also participated in the Series C round. The round provided an exit to certain early-stage investors and a few angel investors.

Phoenix Legal advised Dr. Shashi Baliyan, the founder of Clearmedi Healthcare Private Limited, a leading Oncology player in the Indian healthcare sector (Clearmedi), on acquisition by Morgan Stanley of a significant majority stake in Clearmedi from Italy’s KOS Group and another shareholder and infusion of additional capital in Clearmedi. Dr. Baliyan is a pioneer in transforming the Oncology space in India and making treatment much more affordable and within reach of the under served cities and districts of India.

Phoenix Legal advised Smartshift Group Inc., a leading tech-enabled services provider for SAP custom application migrations, upgrades and transformations, and its shareholders, on the Indian leg of the following transaction with Ridgemont Equity Partners, a middle market private equity investor.

Phoenix Legal advised Stellex Capital Management UK LLP (Stellex Capital) on the Indian leg of the transaction with respect to its acquisition of Bryden Capital Limited (BCL) and MPL Group Limited. The firm was involved in providing assistance on the legal due diligence exercise and advising through-out the deal process, including assistance in the closure of the deal, in respect of MSS India Private Limited (subsidiary of BCL). The deal focused on investment in Bryden Capital Limited that provides products to the global power industry through a range of high quality and high service organisations.
