Position

Mr. Itay Brafman is a partner in FISCHER’s Capital Markets practice, where he heads the Oil & Gas, R&D (publicly traded VCs) and Film production Partnerships’ practice.

Since 1993, Mr. Brafman specializes in representing corporations in their ongoing corporate matters and in all matters relating to capital markets (public offerings, private placements etc.) and has unique expertise in providing legal advice to limited partnerships in general (both public and private) and specifically, to public limited partnerships.

Additionally, Mr. Brafman has extensive experience in representing publicly traded corporations listed on the Tel Aviv Stock Exchange as well as investors and corporations raising public and private capital in Israel and providing ongoing legal representation to pre and post-IPO corporations.

In the field of Oil & Gas, in addition to his expertise in capital markets, Mr. Brafman provides ongoing representation to local and foreign oil and gas corporations throughout the course of their business, from the acquisition of oil and gas interests in Israel and abroad, through international agreements, joint operating agreements (JOA’s), agreements for the acquisition of oil interests (including farmout agreements), transactions with geological survey companies, drilling rig companies and Israeli and international energy service contractors, applications for onshore and offshore oil exploration licenses and agreements for the financing of corporations that operate in this industry.

In the field of R&D, in addition to his involvement in the structuring and raising of funds for R&D partnerships (both private and publicly traded VCs), Mr. Brafman also provides ongoing representation to said partnerships in the ordinary course of their business, including involvement in the negotiating and drafting of investment agreements.

In the film industry, Mr. Brafman represents film production partnerships (private and public) on a regular basis in their day-and-day activities and accompanies and advises them in raising capital.

Lastly, Mr. Brafman provides legal advice to the firm’s clients on their relationship with the relevant regulatory bodies including the Petroleum Commissioner in the Ministry of Energy, the Israeli Securities Authority, the Tel-Aviv Stock Exchange, the Israeli Innovation Authority, the Tax Authority, and various other government agencies.

Mr. Brafman is also a certified notary in Israel.
