Banking and finance Tier 1

Capital markets: Debt Tier 1
Clifford Chance has 'access to a vast number of deals through its worldwide network' and goes 'beyond expectations in terms of quality and dedication'. It advised the managers, including Crédit Agricole and HSBC, in connection with the €750m debut green bond issue of ACS Servicios, Comunicaciones y Energía. The group also stands out for its securitisation and structured finance expertise, with 'high performer' José Cuenca and Eduardo García the names to note. Yolanda Azanza is 'very professional and knowledgeable' and senior associate Jesús Quesada is also noted. Carlos Pérez Dávila, previously a senior associate with the firm, joined Pérez-Llorca as a partner in 2019.
Capital markets: Equity Tier 1
As well as public offerings, Clifford Chance handles equity-linked capital markets products such as rights issues, convertible bonds and private placements. On behalf of Barclays, it assisted the managers with an additional tier 1 issue by Ibercaja Banco and, in a separate matter, advised Elaia Investment Spain on its listing on the alternative stock market (MAB). Antonio Henríquez, Yolanda Azanza and Javier García de Enterría are recommended. Former senior associate Laura Fernández left in February 2018 to become general counsel at Aliseda Inmobiliaria.

As such, it advises many Ibex 35 companies such as construction group ACS; the client retained the team to advise on its joint venture with Atlantia and Hochtief - which had both launched competing initial takeover bids - for a joint investment in Abertis. Another highlight was assisting IFM Investors with acquiring a 49% stake in water management company FCC Aqualia from construction company FCC for a purchase price of over €1bn. In this instruction, Samir Azzouzi and Javier Amantegui cooperated with UK and US partners. Luis Alonso has 'very strong negotiation skills' and is recommended along with Jaime Velázquez, José María Fernández-Daza and Javier García de Enterría. is the name to note in Barcelona.
Dispute resolution Tier 1
The ‘absolutely brilliant’ Jose Antonio Cainzos leads the ‘high-quality and dedicated’ practice at Clifford Chance, which specialises in representing multinational clients in cross-border litigation, international arbitration and investigations. Key names include intellectual property litigation expert Miquel Montañá and the ‘well-prepared and hardworking’ Ignacio Diaz. Also notable is counsel Carlos Zabala, who joined from Ramón y Cajal Abogados in 2018. The firm is representing the Agrolimen Group in a claim against Nuevo Arpegio, a private entity owned by the regional government of Madrid, relating to the sale of several rural plots of land. In another recent highlight, the ‘available, transparent and really reliable’ team is acting for Vestas Perú in its claim against Montealto Perú, following arbitration proceedings before the International Court of Arbitration.
Environment Tier 1
Clifford Chance works across the area and has particular experience in cross-border transactions in the renewable energy sector, as well as a carbon trading unit integrated within the capital markets practice area. The team is jointly led by José Guardo, José Luis Zamarro and new arrival Jaime Almenar, who joined from CMS Albiñana y Suárez de Lezo and specialises in matters relating to the public and regulated sectors in Spain, particularly energy regulation. The department is assisting Atlas Renewable Energy with the drafting and negotiation of a multi-disciplinary scheme relating to the Guajiro solar project in Mexico, and advising Argentinean company Genneia Vientos del Sudoeste on the contractual scheme for the construction of a wind farm located in the province of Rio Negro Argentina. Former practice head Juan José Lavilla retired in 2018.
EU and competition Tier 1
Miguel Odriozola leads the Clifford Chance practice, which specialises in competition matters before the European Commission and the Spanish Competition Authority. His team includes senior associates Ana Latorre, who is experienced in infringement and merger control; Belén Irissarry, whose expertise lies in Spanish and European competition law; and the recently promoted counsel Begoña Barrantes. The firm counts Telefónica, Samsung, Nokia and Banco Santander among its clients, and in a recent highlight successfully represented Oracle before the Supreme Court in an abuse of dominance case. The practice also acted for Telefónica in challenging the €47m fine imposed by the Comisión Nacional de los Mercados y la Competencia; the fine was eventually fully annulled.
Clifford Chance specialises in advising the pharmaceutical industry on legal and regulatory requirements and on all stages of the medicinal product cycle, and also has experience in joint ventures in the life sciences industry. The practice is led by intellectual property expert Miquel Montañá and litigation and multi-jurisdictional dispute specialist Josep Montefusco. The team is representing Alfasigma España in a contentious administrative appeal against the decision of the Spanish health authorities to exclude a product from the public health system's financing. Clifford Chance's ‘domestic and international experience’ is combined with an ability to ‘coordinate different work areas exceptionally well’. Advising across the full range of insurance-related matters, the firm specialises in multi-jurisdictional transactions. The practice has ‘some of the best lawyers in Spain that do a brilliant job’. This includes counsel Jaime Sánchez, who is an expert in insurance and reinsurance matters and is known for his transactional and regulatory experience. He leads the team with the ‘intelligent and precise’ José Antonio Caínzos, who has ‘a depth of knowledge in legislation’. The department advised Zurich Group on the voluntary winding-up and liquidation of Aide Asistencia, Seguros y Reaseguros, and assisted Mapfre with the setting up of a fund for real estate investment in Europe. Clifford Chance has a strong track record handling copyright legislation. Practice head Miquel Montañá is advising Banco Santander on the copyright aspects of multiple project finance operations for the production of several films and television series. It advised Värde Partners on the acquisition of a 49% stake in WiZink Bank from Banco Popular, and assisted KKR with the €3.7bn acquisition of a 40% stake in telecom infrastructure operator Telxius. Real estate and construction Tier 1
Clifford Chance acts for top clients and household names in the Spanish real estate market. The team is advising BBVA on the sale of 80% of its Spanish real estate business to Cerberus, valued at €5bn. Key name and Barcelona real estate lead, Blanca Ochoa, advised Unibail-Rodamco-Westfield on the €159m acquisition of several retail units. Carlos Portocarrero heads the practice. Restructuring and insolvency Tier 1
The 'top-notch' Clifford Chance has a 'fully committed team' on both the restructuring and insolvency sides. Recent highlights include advising HSBC and the other members of the lenders’ syndicate on the €3.3bn debt refinancing of media group Prisa. It also assisted Noatum Maritime with obtaining a credit facility for the amount of €91.3m granted by a syndicate of banks to refinance the group’s debt.
