Career

Fidel is a partner at Consortium Legal – El Salvador. He has 15 years of experience in the corporate law sector; his main areas of practice are mergers and acquisitions, competition law, corporate governance, corporate restructurings, as well as banking and financial sectors.

 

Throughout his career, he has participated in important transactions at local and regional levels, advising companies in mergers and acquisitions processes, negotiation of contracts for the purchase and sale of shares and/or assets in areas such as banking, insurance, pharmaceuticals, agroindustry, telecom, retail, among others. He has also participated in procedures for the authorization of economic concentrations before the competition regulator and authorization of relevant shareholders in the banking and insurance sector before the financial regulator. He has also participated in national and international syndicated financings, providing advice in the review and structuring of loan agreements and their guarantees.

 

He has experience in equity restructurings in both corporate and family groups in which he has provided counsel to establish adequate corporate governance and protocols. He has participated in the preparation of different documents that have allowed regulating the relationship between management and shareholders as well.

 

WORK HIGHLIGHTS

  • He advised General International Telecom Limited in the acquisition of Telefonica’s telecom business in El Salvador acquiring its subsidiaries Telefónica Móviles El Salvador, S.A. de C.V. and Telefónica Multiservicios, S.A. de C.V.
  • He participated in the advisory services for Grupo ASSA in the acquisition of 100% of the operations of AIG’s subsidiaries in El Salvador, as well as in the subsequent merger between the property and casualty insurance companies;
  • He participated in the advisory to the Colombian pharmaceutical company Tecnoquímicas for the acquisition of Bonima, S.A. de C.V., generic business of Bayer AG;
  • He advised Duwest Inc. In the acquisition of inventory and assets of Agroquímica Internacional, S.A. de C.V. in El Salvador.
  • He participated in the advisory services provided to Banco Cuscatlán in obtaining a financing of US$ 50,000,000.00 granted by Credit Suisse AG for the acquisition of Banco Citibank de El Salvador, S.A.;
  • He participated in the advisory services for Banco Cuscatlán to obtain US$ 100,000,000.00 through a diversified securitization program of future payment rights (DPR) granted by Credit Suisse AG;
  • He participated in the advisory services provided to Banco Davivienda Salvadoreño, S.A. in obtaining a loan granted by FMO for US$ 60,000,000.00 for the financing of projects aimed at improving the production of renewable energies;
  • He participated in advising Davivienda in the acquisition of HSBC’s subsidiary in El Salvador;
  • He participated in advising Grupo Aval in the acquisition of BAC-Credomatic in El Salvador;
  • He participated in advising the Colombian company Procaps in the acquisition of 100% of two pharmaceutical companies in El Salvador: Laboratorios López, S.A. de C.V. and Biokemical, S.A. de C.V.
