Career
Felipe is a partner at Consortium Legal – El Salvador. He has 10 years of experience in the banking and finance sectors; his main areas of practice are corporate law, foreign investment, mergers and acquisitions, as well as the banking and financial sector.
Throughout his career at Consortium Legal, he has participated in important transactions at a local and regional level, providing advice on financing structures, mergers and acquisitions, competition and regulated sector issues, among others.
Recently he has participated in the acquisition of Banco Scotiabank’s operations by Banco Cuscatlán, AIG El Salvador by the Panamanian insurance company ASSA; as well as the credit line granted by Credit Suisse to Imperia Intercontinental INC for the acquisition of the shares of Citibank El Salvador. In addition, he advised Finca Microfinanzas El Salvador in the sale of its operations to Optima Servicios Financieros. He is currently involved in complex banking and project finance transactions led by partner Oscar Samour.
WORK HIGHLIGHTS
- Advised Imperia Intercontinental INC in the acquisition of 100% of the operations of Banco Scotiabank and its subsidiaries in El Salvador.
- Advised the Government of the Republic of El Salvador through the Ministry of Finance in a bond issuance process in the amount of US $ 1,097,000,000.00.
- Advised Banco G&T Continental, Banco Agromercantil of Guatemala in granting financing to VENTUS, S.A. de C.V., for the amount of US $ 85,500,000.00 for the construction of the first wind farm in El Salvador.

The firm’s active client base includes household-name brands such as Amazon, PepsiCo and Walmart, and spans sectors ranging from telecoms, food and beverages, and retail to tech, fintech, pharmaceuticals and real estate. The comprehensive practice extends to cover M&A, asset purchase agreements, company incorporations, due diligence processes, licensing issues and corporate governance. An experienced trio of partners oversees the team – El Salvador managing partner Oscar Samour, who draws on multidisciplinary expertise when handling M&A transactions; Diego Martín, who has over 20 years of experience in the infrastructure, insurance and tech sectors and in the tax aspects of corporate transactions; and Maria Alejandra Tulipano, who assists private and public companies with strategic regional expansion, public tenders and concession contracts.
