In recent highlights, the team advised Minera Escondida on an amended and restated syndicated loan agreement to refinance $300m of the loan for an additional five years. The team is co-led by Felipe Rencoret Portales, whose practice includes debt deals and offerings, along with regulatory work; and mining industry expert Nicholas Mocarquer, who assists both borrowers and lenders. Urenda, Rencoret, Orrego y Dörr houses a ‘very good‘ six-strong competition group that has broad experience in matters involving the Competition Court and FNE investigations. It also handles merger-control assessments and notifications; international unfair-competition matters (such as anti-dumping and safeguarding cases); and the implementation of compliance programmes. The team’s sector specialisms range from energy, mining, steel and food, to healthcare, pharma, technology, construction and real estate. The recent caseload of practice co-heads Nicholas Mocarquer and Gonzalo Rencoret includes abuse-of-dominance investigations and merger-control analysis. Associate Bernardita Schmidt is also active in competition law matters.

The six-member department at Urenda, Rencoret, Orrego y Dörr‘s consistently advises on the implementation (including training) of internal corporate policies and codes, particularly in relation to anti-corruption, competition, data protection, securities, and labour and environmental law compliance. The team also assists with internal compliance-related reviews; and assists the firm’s international clients (on an ongoing basis) with adapting their FCPA and UK Bribery Act compliance programmes to Chilean requirements. The practice is co-led by labour law-related compliance specialist Alberto Rencoret; Nicholas Mocarquer, whose experience includes compliance-related anti-corruption, competition and data protection matters; and Ignacio Urrutia, an environmental law compliance expert.

‘Helping companies to achieve their goals‘, Urenda, Rencoret, Orrego y Dörr‘s sizeable 21-strong corporate and M&A group is highly experienced in M&A transactions, shareholder agreements, joint ventures and corporate restructurings. The practice also provides general corporate assistance to major local and international companies on a day-to-day basis. Additionally, the firm is the Chilean member firm of the Multilaw and World Law Group international networks. The core group of established and experienced partners, all of whom advise on M&A deals, shareholder agreements and joint ventures, is comprised of Gonzalo Rencoret, Nicholas Mocarquer, Sergio Orrego and Felipe Rencoret. Within the firm’s senior associate pool, Bernardita Schmidt is routinely active in corporate and M&A work, while Rafael Rencoret has significant experience in major transactions. Former partner Rodrigo de Alencar left the firm in January 2022.

Urenda, Rencoret, Orrego y Dörr‘s seven-member practice routinely acts on bonds and other debt-certificate issuances, along with public tender offers. The team also assists publicly-held corporations and brokers with issues involving the Securities Agency and the stock market. The practice is co-led by Felipe Rencoret, who advises on securities and associated compliance matters, and Sergio Orrego, whose practice includes IPOs and tender offers. Further partner-level, capital markets support is provided by Gonzalo Rencoret and Nicholas Mocarquer, while associate Isidora Zañartu possesses securities and regulatory expertise. Former partner Rodrigo de Alencar joined Barros Silva Varela & Vigil in January 2022.

The four-strong team at Urenda, Rencoret, Orrego y Dörr assists a substantial client roster on data protection matters, including related labour issues. The team is also active in relation to GDPR work, including the implementation of data privacy policies and their interplay with Chile’s data protection regulations. Alberto Rencoret, who routinely assists with labour-related data protection matters, co-leads the practice with Nicholas Mocarquer, who is experienced in assisting international clients with their data privacy policies. Senior associate Verónica Roa is also on hand to advise on data protection.
