Career

Dimpy is a Founding Partner of LexCounsel and has more than nineteen years of experience advising and representing on the following practice areas:

• General Corporate and Commercial: Business structures in India, corporate investment structuring and restructuring, regulatory issues, shareholder issues, company establishment and taxation, technology transfers, know how licensing, inter corporate investment, foreign exchange control issues, customs and excise matters, import and export regulations, trading etc.

• Labour and Employment: Non-solicitation, employee claims including for bonus, stock option and other incentive schemes, downsizing, enforcement of employee post termination obligations and strategies for containing attrition, paternity leave policy, issues related to secondment and work visas. Undertaken the closure of an undertaking of a Fortune 500 company in Hyderabad with government approval. Extensive review and framing of policies relating to sexual harassment at workplace and advising internal complaints committees on process and documentation for sexual harassment complaints. She has been been invited to be a panelist at seminar hosted by the National HRD Network on Prevention of Sexual Harassment at Workplace and elucidated to HR Managers on Techniques and Principles of Conducting an Inquiry. 

• Life Sciences and Biotechnology: Classification of BAFS, OTC and herbal health products and cosmetic products, permitted, restricted and prohibited ingredients, labeling and registration requirements, Indian food and drug laws including for an European MLM health supplement and cosmetics company, Indian laws applicable to an American Ice Cream company. Dimpy was invited to write the ‘India Chapter’ of the book ‘International Food Law and Policy’ published by Springer in December 2017.

• Tax: Advice on direct and indirect taxes including implicatons arising out of DTAAs whether for corporate entities or for employees on secondment. 

• Education: Schools and higher education system in India including structuring alternative models for provision of educational services in compliance with applicable education regulations and guidelines

• Media: Print media and title registration issues; laws applicable to advertisement of drugs.

• Real Estate: Investing in real estate business in India pursuant to liberalized real estate regulations for foreign investment, advice on investment structures, tax effective options, financial options for a UAE developer in its joint development with an Indian developer of a residential township in Mumbai; contracts for multi-cuisine restaurants.

• Insurance: Indian law implications for alternative risk transfers, including cell captives and structuring outsourced employees’ agreements and arrangements in the insurance sector, establishment of a liaison office for a South African insurance company, obtaining a direct broker license from the IRDA for an Indian company.

• Regulatory: liaisoning with ministries including for invitation based comments/suggestions on the consolidated FDI Policy and participating in discussions held in this regard.

Dimpy has also been invited to speak at conferences included those hosted by the International Bar Association.

LexCounsel advises Hindustan Coca-Cola Beverages on foreign direct investment rules and regulations, and recently assisted Australian not-for-profit organisation The Fred Hollows Foundation with issues surrounding setting up a branch in India. The team is also acting for Carlsberg India in structuring a capacity sharing agreement for one of the entity's manufacturing facilities. Dimpy Mohanty is the key figure, and senior associate Dhruv Manchanda is recommended.

Highlighted as a 'really effective boutique firm', LexCounsel's 'top-notch' labour and employment team is considered 'a force to be reckoned with'. Practice head Dimpy Mohanty, assisted by senior associate Dhruv Manchanda, acted for CPA Global on India aspects of its global acquisition encompassing assets and employees of certain companies. The group has attracted praise for being 'excellent at dealing with cross-border matters' and assisted a UK company with Indian employment law issues.

The TMT department at LexCounsel was instructed by Hitachi on registration of three centres under terms set by the Department of Telecommunications. Dimpy Mohanty led a team assisting Adsert Web Solutions over a legal notice issued by Broadcast Audience Research Council with respect to the TV viewership data it collated and released.

Tax

LexCounsel is instructed on direct and indirect tax matters. Practice head  Dimpy Mohanty was engaged by World Learning, USA to advise on direct tax issues relating to tax deductions applicable to severance payments to a former foreign national employee. In another work highlight, the group assisted Usha Breco with considerations as to the payment of goods and services tax on imported ropeway equipment, as well as on efficient tax structuring.
