Position

Shiau Ven became a partner of the firm in 2018. She focuses on corporate and commercial law, real estate, banking and corporate finance, mergers and acquisitions and intellectual property. She has advised on a wide range of corporate and commercial transactions including mergers and acquisitions, joint ventures, shareholders agreements, intellectual property and information technology related agreements. She has extensive experience in real estate transactions from advisory, sales and purchases, corporate banking and housing loan transactions to development projects.

Career

In relation to corporate and commercial transactions, Shiau Ven has vast experience in acting for both local and foreign clients on their corporate restructuring exercise and commercial transactions, she advised client on the business structure, commercial contracts and regulatory compliance. She acted as lead counsel for cross border mergers and acquisitions transaction, due diligence exercise and involved in drafting and negotiating the memorandum of understanding, non-disclosure agreement, joint venture agreement, sale and purchase of shares agreement and shareholders agreement and multijurisdictional banking transaction related agreement.

In the field of intellectual property and information technology, Shiau Ven has advised major local and multinational clients from various industries ranging from food and beverage, beauty and care, pharmaceutical, IT to manufacturing on the management and protection of their intellectual property rights such as registration of trademark, protection under copyrights laws and advising on the licensing, franchising, manufacturing and distributorship agreements.

Shiau Ven attended to various sale and purchase and banking transactions. She advised local and foreign client on the rules and regulations in purchasing and selling property in Malaysia, the implication of stamp duty, real property gain tax and goods and services tax in the respective transaction. She advises a wide range of lenders and borrowers, landlords and tenants on the real estate finance, tenancy and lease agreements.
