Dr Jean Farrugia

Financial services department. Principal areas of practice comprise financial services law, corporate law and general commercial law. Specialist areas of practice focus on corporate law with a special focus on financial services, particularly funds and investments services, banking law, corporate restructurings (including cross-border restructurings), joint ventures, mergers and acquisitions and equity issues, IPOs and general corporate advisory work.
Position
Dr Farrugia is a qualified lawyer and partner with DF Advocates. Having considerable experience acting as a transactional lawyer, he specialises in financial services and corporate law with a special focus on funds and investment services (both from a regulatory and transactional perspective), banking law, corporate restructurings (including cross-border restructurings), joint ventures, mergers and acquisitions and equity issues, IPOs and general corporate advisory work. Jean also has particular expertise in privatisations of state owned entities, and similar domestic and international tender and licensing processes. Dr Farrugia has advised major local and international companies such as banks, insurance companies, private equity firms, funds and investment advisors/asset management companies in the setting up and licensing and/or listing process, and ongoing compliance work as well in transactional and operational related issues. He also occupies a number of posts as director on the boards of a number of financial institutions where he also acts as compliance and/or money laundering reporting officer thereby acting as liaison between such licensed entities and the regulator (the Malta Financial Services Authority). Dr Farrugia has also formed part of the legal team entrusted with the drafting of laws and regulations relating to gaming legislation and insurance directives. He has also co-authored reports intended for the EU Commission relating to the implementation of EU Directives into Maltese Law including Public Procurement Legislation in Malta.
Career
Dr Farrugia trained at Mamo TCV Advocates, and qualified as a Doctor of Laws in January 2002. He was made partner at DF Advocates in March 2002. He has also been a director of DF Corporate Services Ltd (August 2008 to present), which specialises in corporate fiduciary and trusts services, and is director of LL Capital & Partners Limited (January 2009 to present), this being a regulatied European financial services company. Publications of note include The Mergers and Acquisitions Review; Chapter 38, Malta, 6th edition (2012) and The Mergers and Acquisitions Review; Chapter 46, Malta, 7th edition.
