At The Legal 500 GC Summit DACH 2022, a series of panels and keynotes will cover a broad range of topics of interest to in-house counsel and investors active in the DACH region. Topics will include a keynote presentation detailing recent changes to the role of in-house counsel post-Covid and expected changes in the role of in-house counsel in the near future, as well as panels covering the influence of ESG, the Due Diligence Act, and Supply Chain Act on the financial market; the crucial role of general counsel in securing sustainable finance; and the post-Covid wave of restructuring and insolvency issues and its effect on in-house counsel. Other panels will address the effect of sanctions regimes on commercial arbitration, financial systems, and NGOs, and providing practical M&A advice for in-house counsel and investors in the DACH region for 2022. ESG and sustainability reflect the current zeitgeist. Initially understood as a possible differentiating feature, individual topics are increasingly developing beyond reporting obligations from ‘soft’ to ‘hard’ law. ESG is having an increasing impact on the catalogue of company management’s duties. Liability issues are also becoming relevant. The panel discussion aims to provide an overview of various (operational) ESG topics and show how companies approach ESG-compliant solutions.

Dr Maria Boerner, an associate at Allen & Overy (Frankfurt) and Dr Thomas Müller, a partner at Walder Wyss (Zürich), will discuss how – in the current societal context – a sound corporate culture needs to promote a pleasant work environment and at the same time inspire the companies to achieve a greater goal for the whole society. Dr Daniel Zapf, partner, White & Case LLP

Daniel Zapf is a member of the White & Case’s global white collar/investigations and compliance practice based in Frankfurt. Daniel advises on all aspects of white collar and anti-financial crime and tax offences. He represents and defends national and international corporates, financial institutions, and individuals subject to investigations and proceedings involving Public Prosecutor’s Offices, supervisory authorities, and the courts. In addition, Daniel co-ordinates and conducts corporate internal investigations on a national and international level. He advises on compliance issues, including reviewing compliance management systems, implementing anti-money laundering compliance systems, and participating in compliance due-diligence processes.

Dr Sonja Hoffmann, partner, White & Case LLP

Sonja Hoffmann is a member of White & Case’s global commercial litigation practice based in Frankfurt. Sonja advises national and multinational clients on complex national and cross-border commercial disputes with a particular focus on financial services, corporate, private equity, and real estate litigation. In addition, Sonja has extensive experience handling litigations in court, especially in collective redress.

She is a specialist in advising clients in mass proceedings. She defends, among others, financial institutions nationwide regarding lawsuits involving various financial market instruments.

Furthermore, Sonja supports clients in complex commercial disputes relating to liability issues (including managing directors’ liability) and post-M&A matters. Sonja also assists clients in the context of enforcement proceedings with international implications. Finally, in the context of M&A transactions, she advises clients on liability and litigation risks.

Sonja also advises clients on ESG litigation topics, including disputes relating to supply chain, sustainability, and climate change.

Dr Miyu Lee, chief legal officer and general counsel, Mondu

Prior to joining the fast-growing fintech team at Mondu, Miyu Lee filled a number of positions during her five-year tenure at Klarna including legal director at product legal, legal and regulatory operations and Klarna Media. She is admitted to the German, Austrian and NY State Bar. Ms Lee completed legal studies at the University of Vienna, Harvard Law School and obtained a PhD degree in economics at the Humboldt-University of Berlin.

Xenia Schuhn, director/human rights lead, Fresenius Medical Care AG & Co. KGaA

Xenia Schuhn is an expert in business and human rights, focusing on integrating Human Rights Due Diligence in core business processes. In 2020 she joined Fresenius Medical Care, the world’s leading provider of products and services for people with chronic kidney failure, to manage the global Human and Labor Rights Program. Before that, she was part of the Corporate Sustainability Team of Wintershall Dea, the leading European independent gas and oil company, working on the social pillar of sustainability-related activities. She holds a Magister´s degree in political science and public law and studied in Trier and Madrid.

Benedikt Tschinkl, group ESG strategy, Deutsche Börse AG

Benedikt Tschinkl is an expert in  ESG strategy at Deutsche Börse Group – the leading market infrastructure provider in the EU. He is responsible for the development and implementation of Deutsche Börse Group’s ESG strategy as well as for the integrated reporting, TCFD, EU taxonomy and their impact on Deutsche Börse’s products and services. Benedikt Tschinkl joined Deutsche Börse in May 2021 after more than six years as an advisor on regulatory issues and sustainable finance at PwC.

Wolfram Huber, partner, PHH Rechtsanwälte

Wolfram Huber has been a partner at PHH Rechtsanwälte since 2014. He has more than twenty years of experience in banking and finance matters, with special focus on syndicated loans, secured lending, trade and project financing, restructuring and construction and infrastructure projects. He is admitted to the bar in Austria and qualified as a solicitor in England and Wales. Wolfram regularly participates in seminars, conferences, and workshops as a lecturer.

Dr Mr Marcus Benes, partner, E+H Attorneys-at-Law

Dr Marcus Benes, LLM (PENN), MBA (Wharton), is co-head of the banking and finance and restructuring and insolvency practice groups and is a member of the capital markets practice group. He advises banks and investors on international financing, complex restructuring, and sales of loan portfolios. He combines in-depth experience in the private sector, gained by restructuring a family business between 2001 and 2003, with many years of legal experience in international law firms. Marcus Benes graduated from the Faculty of Law of the University of Vienna with a master’s degree and a doctorate in law. He also studied at the University of Pennsylvania, receiving his Master of Law (LLM) in 1996. In 2001, Dr Marcus Benes received his Master of Business Administration (MBA) from the renowned Wharton School. He is a member of the Bar in Austria and New York.

Daniel Froesch, partner, Heuking Kühn Lüer Wojtek

Daniel Froesch is a partner at the Frankfurt office of Heuking Kühn Lüer Wojtek and a member of the firm’s dispute resolutions practice group. He has experience with proceedings conducted under all major arbitration rules across various industries and jurisdictions. Daniel Froesch is listed in relevant directories as a German arbitration specialist. His primary focus is on representing clients, but he also frequently acts as an arbitrator. In addition, he advises and represents clients in other forms of dispute resolution proceedings. After working for seven years in a leading international law firm, Daniel Froesch joined Heuking Kühn Lüer Wojtek in 2009. Daniel Froesch deals with dispute avoidance strategies and all aspects of dispute resolution, whether in arbitration procedures or litigation in state courts. Stephan Klinger, head of legal, Austrian Central Bank

Stephan Klinger is heading the legal division of the Austrian Central Bank, the competent authority for sanctions law in the financial markets. He studied business, philosophy, law and social anthropology in Vienna and Kiev and worked for leading companies in banking and insurance.

Oliver Künzler, partner/head practice group corporate/commercial, Wenger Plattner

Oliver Künzler is a partner in the business group corporate and commercial. He deals primarily with international and national M&A transactions, restructurings and reorganisations, private equity and venture capital transactions and financings. He also advises shareholders and companies on all contract, commercial and corporate law aspects.

He further specialises in advising small and medium-sized enterprises, particularly concerning business succession and structuring.

Oliver Künzler regularly publishes and speaks on contract, commercial and corporate law topics. He is active in several national and international professional organisations and is an expert on business succession.

Dr Cai Berg, senior managing director, ParkView

Dr Cai Berg is a senior managing director at ParkView. Before joining ParkView, Dr Berg was responsible for establishing Evercore’s corporate M&A business in Germany. Before that, he worked for six years at Lazard in Frankfurt, where he was heading its German business with financial investors, family-owned companies, and distressed M&A. Mr Berg started his career as an M&A and private equity lawyer partner at Gleiss Lutz. Dr Berg has more than 20 years of experience in public takeovers and complex private M&A transactions. Dr Berg has advised on some of the most prominent German M&A deals over the last 20 years. Some of his recent mandates have been advising Vonovia on its €21bn voluntary public takeover offer for Deutsche Wohnen, CANCOM SE on the strategic review and €0.4bn disposals of CANCOM UK&I, CytoTools on its investment by Klocke Gruppe, ISRA VISION on its €1.1 bn friendly takeover by Atlas Copco, Stada on its €5.4bn public takeover by Bain and Cinven as well as Superior Industries on its €700m cross-border taking private of competitor Uniwheels. His clients also included, inter alia, Audi, Bosch, Boehringer Ingelheim, Bilfinger, Blackstone, Heidelberg Cement, Infineon, KKR, Koerber and Voith. Dr Berg is a qualified German lawyer and earned his law degree at the universities of Heidelberg, Lausanne and Bonn. Mr Berg holds a PhD in law and has published several articles regarding M&A-related topics. In addition, he holds a lectureship for corporate valuation at the University of Heidelberg. Furthermore, Dr Berg is engaged in several social and charity projects in Germany and South America.

Raiko Stelten, managing director, Houlihan Lokey

Raiko Stelten is a managing director in Houlihan Lokey’s technology group, where he focuses on transactions in healthcare software. Previously, Raiko was a managing director at GCA Altium, which Houlihan Lokey acquired in 2021. He began his career at DC Advisory, where he gained extensive experience advising on buy-side and sell-side M&A transactions, focusing on the healthcare and technology sectors. Mr Stelten holds a master’s degree in business administration from Macquarie University in Sydney and a master’s degree in economics from Witten/Herdecke University.

Benjamin Klinkert, chief legal counsel, Brüel & Kjær Vibro

Benjamin leads an interdisciplinary team as general counsel of BK Vibro. He has broad legal expertise and experience in complex corporate transactions, multi-jurisdictional and cross border M&A, divestments and reorganisations and joint ventures. Benjamin has been involved in around 180 M&A transactions in various roles, acting as external legal advisor as well as in different in-house roles (including inter alia advising the target as general counsel). He started his legal career in 2003 as an attorney-at-law working for major international law firms and has hold different in-house legal positions for more than ten years.

Timo Spitzer, executive director and head of legal, Santander CIB Germany, Austria, Switzerland and Nordic Countries

Timo Spitzer is an internationally recognised and purpose–driven head of legal. He has experience at three leading global banks and three major international law firms. Dually qualified as German Rechtsanwalt and UK solicitor, Timo also has a first-class honors Master’s degree in international economic law. He is a native German speaker, and is also fluent in English, French, Portuguese and Spanish.

Timo is a board member and adjunct professor at the Institute for Law and Finance at Goethe University, Frankfurt within a globally ranked Top 10 Master’s program for banking, finance and securities law, as recognised by LLM Guide from 2018 to 2021. He is also the chairman of The Legal 500 General Counsel Powerlist Germany advisory board, as well as an advisory board member and member of the General Counsel Leadership Circle of the German Institute for Legal Departments & Corporate Lawyers (diruj). Timo is an advisory board member of Deutscher AnwaltSpiegel, Business Law Magazine, GoingDigital Magazine and SustainableValue Magazine. He was an inaugural member of the Handelsblatt Legal Circle.

Timo is the author of The Importance of Human Leadership with Integrity in a Highly Regulated and Tech-Reliant Corporate Environment published by Harvard Business Law Review. He has been a keynote speaker at legal conferences, eg, by the Academy of European Law, the International Bar Association (IBA), International Financial Law Review (IFLR) and The Lawyer, as well as giving guest lectures at Harvard (RCC) and Fordham Law School.

Timo was featured on The Legal 500 Powerlists General Counsel Germany 2017, 2019 and GC Germany Teams 2018. He was the winner of the 2018 Santander Global WiseLegalSpeakers’ Award and the 2019 European and Global Counsel Awards by Lexology and the Association of Corporate Counsel (ACC). He was a judge at, inter alia, The Lawyer‘s European Awards.

Dr Martin Metz, senior legal counsel, investment manager, Omni Bridgeway

In his role as senior legal counsel and investment manager Martin Metz advises German and foreign clients on cross-border legal disputes in arbitration proceedings and commercial litigation. Dr Metz also focusses on the development of Omni Bridgeway’s arbitration practice in the German speaking market (DACH region). Dr Metz has deep knowledge in the field of arbitration which he gained in private practice before joining Omni Bridgeway while a senior associate in the arbitration and litigation practice of DLA Piper where he advised clients in the automotive, energy, technology, and insurance sectors. He has advised clients under various arbitration rules (ICC; LCIA, DIS, SCAI, SCC, ad-hoc arbitration). Dr Metz is admitted to both the Cologne and California Bar. He also lectures on ‘Transnational Commercial Litigation’ at the EBS (European Business School) University in Wiesbaden and has lectured at the University of Cologne and the China EU School of Law in Peking in the past. Dr Metz holds a PhD from the University of Cologne on the topic of transnational human rights litigation and spent two years as a visiting scholar at the University of California, Berkeley School of Law, to conduct research for his PhD he also holds an LLM from the French and German Masters programme of the University of Cologne and the Université de Paris 1 (Panthéon-Sorbonne) and spent one trimester as visiting researcher at the National Law School of Bangalore University. Dr Mets has published various articles on the topic of transnational disputes.

Dr Nicole Schmidt, team lead ESG and sustainability, DZ BANK AG

Nicole M Schmidt studied political science, economics and Slavic studies in Heidelberg, at the University of Georgia in Athens, GA, USA and at Sciences Po Paris and graduated with a master of arts degree in March 2014. Her MA thesis investigated discourses on climate engineering in the US, Germany and France. From December 2014 to March 2019 she was an academic assistant and lecturer at the chair of political science of Prof. Dr. Jale Tosun. She also worked for the Heidelberg Center for the Environment (April – November 2014 and February 2018 – March 2019) and was a fellow there from 2018 to 2019. During her doctoral studies, she was part of numerous international research projects, including the EU-COST Action Network ‘Innovations in Climate Governance’ (IS1309), the project ‘Assessment and Perception of Green and Open Spaces in Urban Regions in the Context of Climate Mitigation and Adaptation’ funded by the Heidelberg Karlsruhe Research Partnership (HEiKA) and the FP7 project ‘CUPESSE’ (No. 61325). Her research focus is on comparative climate policies, particularly adaptation policies.

Hans-Michael Stracke, director legal and general counsel, Samsung SDI Europe GmbH

Hans-Michael Stracke joined Samsung SDI in 2016 as director legal for its European business. His focus is on commercial contracts, product liability and regulatory requirements for the automotive traction battery business. Prior to his current engagement he served as counsel and of counsel with Bird & Bird’s international automotive practice group. He earned his automotive expertise during 15 years of in-house legal leadership and executive functions with private and US stock listed automotive tier-1 suppliers. His role’s focus areas are complemented with mediation, extensive negotiation and negotiation support and hypno-systemic coaching for individuals, teams and organisations.

Thomas Müller, Dr iur, LLM, attorney at law, partner, Walder Wyss

Thomas Müller is a partner with the banking and finance practice in Zurich and advises banks, asset managers, fund managers, insurance companies and fintech companies in complex regulatory matters and represents market participants before the Swiss regulatory authorities and as recognised representative before the SIX Swiss Exchange. He has been advising and managed a large number of e-money and payment services, cryptocurrency and blockchain projects. In finance, he focuses on corporate debt finance, structured finance (asset based lending, securitisation, covered bond, risk transfer), leasing (in the rail and shipping industry), and note issuance programmes. Other special services include international legal assistance, white collar crime and insolvency law.

Dr Maria A. Boerner, associate, Allen & Overy

Maria is a German-qualified lawyer who was recently seconded to Allen & Overy’s private equity practice group at the Amsterdam office. She joined Allen & Overy in 2019 as an associate in the corporate/M&A practice group. Prior to joining Allen & Overy, Maria worked as a trainee at a major international US-law firm in Frankfurt am Main and at the German Embassy in Washington, DC. Parallel to her PhD thesis, she worked for another international US-law firm in Berlin focussing on international and European trade and corporate issues.

Sylvia Fiebig, partner, White & Case

Sylvia acts as an insolvency administrator for entities from all industry and business sectors in northern Germany. As a trusted advisor, she helps clients to navigate complex restructuring processes, both in- and out-of-court, and with a particular focus on operational restructuring, change management issues and cross-border activities. She also regularly advises clients on all types of insolvency and restructuring-related legal matters.

Britta Grauke, partner, Weil, Gotshal & Manges

Britta Grauke is co-managing partner of Weil’s German offices and serves as a member of the firm’s management committee. She is widely recognised for representing international clients in litigation as well as restructuring in Germany and abroad and is described by Chambers Global as having an excellent track record.

Britta is well-known for her skill in advising clients in compliance issues and crisis management. Through her work in insolvency-related litigation and assistance to creditors, sponsors, investors and managing directors in highly contested crisis situations, she has become a well-known advisor in German and international restructuring situations.

Eva Reudelhuber, partner, Gleiss Lutz

Eva Reudelhuber specialises on corporate financings including acquisition financings and infrastructure financings. Further, her specialty lies in the structuring of complex financings on the lenders’  and borrower’s side including complex restructurings. She is a member of the drafting commission of the Loan Market Association (LMA) for Germany as regards credit agreements and Schuldscheindarlehen. Eva heads the Gleiss Lutz focus group on financial institutions.
