The dedicated 33-strong group at market leviathan Carey has extensive capital markets experience, which includes advising on corporate and securitised bonds and high-profile securities offerings, including cross-border IPOs, capital increases, debt issuances and securitisation. The firm also has an outstanding derivatives practice, while other areas of strength include structuring and registering vehicles, managing relations with stock exchanges, and regulatory issues. In recent, high-profile work, Salvador Valdés, Cristián Figueroa and Patricia Silberman were part of a team that advised Enel Américas on the structuring of a capital increase and equity public offering for $3bn. The rest of the impressive partner list includes financial products and debt and equity securities specialist, Diego Peralta, structured products and derivatives expert Felipe Moro, and Jorge Ugarte (securities and debt and equity offerings). Also key to the practice are Cristián Figueroa and Francisco Ugarte, while the firm’s funds practice, which is led by Cristián Eyzaguirre and Francisco Guzmán, was launched in 2016.
Market leviathan Carey fields an impressive, 67-strong department that is a leader in structuring M&A deals. The practice advises a wide range of clients, such as multinationals, funds and foreign companies investing for the first time in Chile, along with local and Latin American companies expanding their businesses in Chile and across the region. In reportedly the largest M&A operation in Chile in 2019, Francisco Ugarte was part of a team that advised State Grid International Development on a purchase agreement for the acquisition of Sempra Energy’s stake in Chilquinta Energía (and its electric transmission and distribution subsidiaries) and Tecnored, as well as Chilquinta’s 50% stake in Eletrans companies. The long list of other highly experienced partners includes senior figure and chairman Jorge Carey, managing partner Jaime Carey, Jorge Ugarte, Pablo Iacobelli and Salvador Valdés. Also critical to the group are Marcos Ríos, Guillermo Acuña, Cristián Eyzaguirre and Claudio Lizana, along with Francisco Guzmán, Cristián Figuero and the recently promoted Patricia Silberman; between them the dozen partners cover all aspects of corporate, transactional and company law.
