Career

David Calhoun practices in the areas of corporate finance, securities, private equity and mergers and acquisitions. David is very active in M&A transactions for public and private companies and represents both buyers and sellers in mergers, acquisitions, asset sales, stock sales, international and cross-border transactions, and leveraged buy-outs. In addition, he often handles Hart-Scott-Rodin (HSR) and antitrust matters in connection with M&A transactions.

David also has significant experience in public and private securities and corporate finance, including representation of issuers, underwriters, and investors. He works closely with clients to help them navigate debt and equity offerings (public and private), going private transactions, venture capital financings, IPOs, secondary offerings of common and preferred securities, PIPEs (private investments in public equity), and tender offers.

David’s clients include companies and private equity and venture capital investors in numerous industries, including technology, financial technology, healthcare technology, business process outsourcing, and manufacturing. In addition to M&A and corporate finance work, he often assists clients with general corporate counseling, corporate governance, audit and special committee representation, and securities law compliance matters.
