About
Utsav is a banking partner in the Mumbai office of the firm. His practice focus on structured finance, acquisition finance, leveraged buyouts, project finance, cross border finance, real estate financing, debt restructuring and debt capital markets.
He advises various Indian and international banks, NBFCs, financial institutions, credit funds, distressed asset funds and Indian borrowers.
He has also been actively involved in various debt restructuring and security enforcement assignments. He also represents resolution applicants, committee of creditors and insolvency resolution professionals in relation to insolvency resolution process under the Insolvency and Bankruptcy Code, 2016.
In addition, Utsav regularly advises domestic and international banks on all types of general banking products.
He has been recognised as the “Next Generation Partner” by The Legal 500 (Legalease). IFLR 1000 has recognized Utsav as a “Notable Practitioner” for 2019, 2020 and 2021. Utsav has also been recognised in the influential bi-annual RSG India Report 2019 for Banking & Finance practice areas as a recommended individual lawyer of the firm from client reviews.

Experience
Some of the key assignments in these areas which were handled by Utsav amongst others cover the following:
• Advised the arranger in relation to issuance of listed non-convertible debentures aggregating to INR 2500 crores by Waves Maritime & Allied Services Private Limited in connection with acquisition of Bhushan Power and Steel Limited.
• Advised Coforge Limited in connection with the issue of unsecured, listed, rated, redeemable, non-convertible bonds aggregating to INR 340 Crores for financing an acquisition.
• Acted for Tata Steel Limited as the issuer in relation to a private placement of secured, listed, redeemable, rated, non-convertible bonds aggregating upto INR 4000 crores (with a green shoe option of 1000 crores)
• Advised the arranger in relation to the issuance of listed, unsecured, rated, non-convertible debentures aggregating up to INR 250 crores by The Tata Projects Limited
• Advised the arranger in relation to issuance of market linked non-convertible debentures aggregating to 1,355 Crores by Embassy Property Developments Private Limited secured by REIT units
• Advised The Tata Power Company Limited as the issuer in relation to the issuance of redeemable, unsecured, rated and listed non-convertible debentures of INR 1000 crores
• Advised Tata International Limited as the issuer in relation to a private placement of secured, listed, redeemable, rated, non-convertible bonds aggregating upto INR 250 crores
• Acted for Deutsche Investments India Private Limited in connection with the issue of listed, rated, redeemable non-convertible debentures aggregating up to INR 30 crores
• Advised the arranges in relation to issuance of listed, secured, redeemable, rated, non-convertible debentures aggregating up to INR 1450 crores by Nuvoco Vistas Corporation Limited
• Advised the arranger in relation to issuance of unlisted, secured, redeemable, rated, non-convertible debentures aggregating up to INR 425 crores by Niyogi Enterprise Private Limited
• Advised Standard Chartered and Nomura in a financing to General Atlantic for acquisition of Karvy Computershare
• Advised Deutsche Bank in a structured financing to Piramal Enterprises Limited by way of non-convertible debentures
• Advised Standard Chartered and Deutsche Bank in a structured financing for an amount of 2100 crores to the Brookfield group by way of listed non-convertible debentures
• Advised the investors in relation to interim finance under the IBC to Sevenhills Healthcare Private Limited by way of listed non-convertible debentures
• Advised Standard Chartered in a financing to West Coast Paper Mills Limited for acquisition of International Paper APPM Limited by way of listed non-convertible debentures
• Advised Qatar Investment Authority in a debt investment in RMZ Group by way of listed non-convertible debentures
• Advised Mu Sigma Inc. in connection with a structured financing from Standard Chartered, Barclays, Deutsche Bank and Credit Suisse, and its refinancing
• Advised Advent International Corp. in all aspects of its acquisition financing for acquiring a significant stake in Crompton Greaves’ consumer electrical business
• Advised Chinatrust Commercial Bank Limited as the agent, in relation to an external commercial borrowing of US$ 110 million to China Steel Corporation India Private Limited
• Advised the lenders in relation to financing and refinancing of a US$ 1.775 billion facility to ONGC Videsh Limited
• Advised the lenders in relation to a secured facility of INR 10 billion for a residential real estate project in Mumbai
• Advised a consortium of lenders in a financing to a Tata Steel subsidiary for the acquisition of Bhushan Steel
• Advised UPL Limited in connection with an acquisition financing for the acquisition of Arysta LifeScience
• Advised a consortium of lenders in relation to the financing and refinancing of facilities to Tata Steel group for the acquisition of Corus Group plc
• Advised Edelweiss Group in a structured priority financing to the Avantha Group
• Advised Standard Chartered in connection with a sale of an Indian stressed asset portfolio
• Advised Adani Wilmar in connection with its bid for Ruchi Soya Industries under the IBC
• Advising the resolution professionals in the corporate insolvency resolution process of Ushdev International and Meenakshi Energy Private Limited
• Advised Ares SSG in the debt resolution of Alitco Capital, a real estate focused NBFC
• Advised the arrangers in relation to restructuring of senior secured facilities of approximately US$ 530 million to Rain Industries group
