Bill is an English lawyer who is also registered to practise Singapore law in the areas of corporate law, banking and finance and securities laws. He enjoys working in the diverse and dynamic Asian market and helping his clients to achieve their goals.

He brings a depth of experience, including a first-class degree in law from Oxford, 10 years in the City of London and over 20 years in Asia, based in Singapore. Before joining CNPLaw, he was a partner in an international law firm. He co-heads the firm’s Funds and Financial Services team and is the chief editor of the firm’s newsletter CNPupdate. He is also active in Interlaw, a leading network of law firms in 150 cities worldwide, and sits on the Singapore Law Society Corporate Practice Committee.

He has worked for clients from all over the world on challenging transactions in different jurisdictions and at different stages of the economic cycle. He has a focus on assisting clients access Asian markets and investment flows through Singapore, involving activity such as investment fund set-up, venture capital and private equity investments, and cross-border M&A. He also advises financial institutions and borrowers in banking and finance transactions and businesses and individuals on employment issues and employee incentives

The main lesson he has learned in his legal career is that every client and their situation are different and they require a unique response rather than a standard answer.

Some of Bill’s notable transactions:

  1. Counsel to Jonathan O’Byrne, founder of Collective Works, and his family holding company, Collective Assembly, on the sale of Collective Works’ co-working business to The Work Project Kingdom, a joint venture between CapitaLand and The Work Project, for an undisclosed amount.
  2. Lead transaction counsel to Integra Holdings Pte Ltd on the sale of 51% of Granite Capital SA, a Swiss based petrochemical product trader, to Zibo Qixiang Tengda Chemical Co., Ltd, a company listed in Shenzhen, China, engaged in R&D, production and distribution of fine chemicals, for a cash consideration of US$36m. The implied equity value of the target in this transaction is over US$70m.
  3. Singapore counsel for Hera Capital Partners Holdings IV Pte. Ltd., a Singapore domiciled single asset fund which is an investor in a series E+ pre-IPO investment round by Go-Jek. Go-Jek is one of South-east Asia’s leading digital platforms providing consumers with transportation, food delivery, logistics, and payment services.
  4. Counsel for the Singapore vehicle of the promoter of an Indian listed group on a secured equity financing facility by 2 international private equity groups.
  5. Singapore counsel for a European headquartered private equity backed group on an acquisition of a corporate services business and related businesses in Singapore and Hong Kong.
