Boonyaporn began practicing law since 2003. Her practice focuses primarily in the areas of capital markets, M&As and derivatives, her areas of practice spans to a variety of securities and corporate transactions including private and public M&As, initial public offering (IPO), corporate restructuring, joint ventures, family business governance and derivatives.
Boonyaporn joined KPMG Law in May 2020. Previously, she was a Partner at a reputable international law firm in Thailand in their Financial Services Division (Capital Markets and Mergers & Acquisitions).
She has been involved in many M&A transactions and advised shareholders, acquirers, sellers, and targets both for listed and non- listed companies in their M&A transactions. She also advised various companies in preparing for domestic and international IPOs and listing their shares on the Stock Exchange of Thailand. She also provided legal advice on ISDA Master Agreement and laws on derivatives to end-users and offshore derivatives dealers.
Selected professional and industry experience
- Advised a major expressway company and a major metro company in Thailand, both of them are listed companies, in their amalgamation transaction which formed one of the largest transportation and logistic service providers in Thailand.
- Advised a major investment banking company on its merger with a Thai commercial bank, via share swap followed by a tender offer process.
- Advised a major telecommunication company on the internal restructuring transactions within its group companies including joint venture transactions.
- Advised a Thai commercial bank and a foreign bank on the acquisition of shares in and entire business transfer from a Thai commercial bank.
- Advised a major petrochemical and chemical company on the IPO and listing of its shares on the Stock Exchange of Thailand.
- Advised a Thai securities company on the acquisition of shares in another Thai securities company and the purchase of the securities brokerage business and derivatives agency business.
- Advised a foreign bank on a joint venture arrangement with a Thai securities company to form a joint venture company for providing investment advisory services in Thailand.
- Assisted a listed commercial bank in Thailand and a state enterprise in preparing compliance charts, compliance checklist and compliance manuals.
