Career

Niccolò is one of Italy’s leading experts in corporate law, corporate governance and bankruptcy law. Among his many activities, he advises clients (i.e., independent directors and boards of statutory auditors) on related-party transactions, takeover bids, amendments to articles of association and the review and application of corporate governance rules. He also assists companies, bankruptcy proceedings, directors and auditors in liability actions and allegations of serious irregularities. He acts as advisor, board member, liquidator and legal commissioner for major restructuring and turnaround operations in the context of composition agreements, debt restructuring agreements and certified recovery plans.

Niccolò joined LCA in 2022.
He is full Professor of Commercial Law at the University of Florence (since 2005), Professor of Corporate Law at the Ph.D. and Master’s Degree of LUISS University in Rome (since 2012) and member of the Committee for Appointments and Promotions of Bocconi University in Milan (since 2016).
He holds a Ph.D. in Commercial Law from Bocconi University in Milan, where he taught Commercial Law and Corporate Governance, and was Dean of the Faculty of Economics at the University of Foggia (2003-2005).
He was also Coordinator of the Italian-Spanish research project on the legal forms of SMEs, University of Florence – Universidad de Valencia from 2005 to 2007.
Niccolò also works as an extraordinary commissioner, bankruptcy liquidator and legal commissioner of judicial settlements with business continuity.

Niccolò is a member of national and international arbitration panels, as well as an independent member of administration and control bodies. He has been an independent director and statutory auditor of banking and financial companies, and of listed industrial companies (e.g., member of the Board of Statutory Auditors of Leonardo, formerly Finmeccanica, S.p.A., independent director, appointed by Fondo Atlante, of Banca Popolare di Vicenza S.p.A.). He is a member of the supervisory bodies of companies (i.e., Chairman of the Board of Statutory Auditors of Leonardo Global Solutions, the main subsidiary of the Leonardo Group, of SEIF, a company listed in Milan and Paris, and of Iren Toscana Ambiente) and non-profit organizations (e.g., Chairman of the Board of Statutory Auditors of the Mandela Forum Association in Florence and member of the Supervisory Board of the Casa della Carità Angelo Abriani in Milan). Author of numerous studies and publications, the most recent of which are dedicated to the impact of artificial intelligence on corporate governance, corporate crises, financial structure and the control system of listed companies.

LCA Studio Legale is regularly involved in major restructuring matters relating to compositions with creditors and other resolution procedures. The firm is particularly active in out-of-court and in-court insolvency proceedings, insolvency-related disputes, assistance to creditors and distressed M&A. Salvatore Sanzo is noted for his expertise in bankruptcy law, particularly in relation to liquidation. Angela Petrosillo is also recognised for her work in debt restructuring transactions for debtors and investors. Niccolò Abriani joined from DLA Piper in October 2022, and Matteo Bazzani departed in September 2023.

Gian Paolo Coppola, who is experienced in international disputes, leads the practice alongside Luciano Castelli, who regularly acts in complex commercial disputes. In 2023, Niccolò Abriani joined as partner from DLA Piper and Simone Legnani was promoted to partner. Luca Minoli was a new arrival in May 2024.
