Position

He specialises in M&A and corporate, with a particular focus on private M&A transactions by Italian and foreign investment funds and industrial players; extraordinary transactions on behalf of listed companies, with a focus on the luxury and sports sectors; commercial and corporate assistance to leading clients in the structuring and expansion of their respective businesses, through capital transactions and joint venture agreements.
Carlo has been involved in many of the main extraordinary finance transactions (IPOs, takeover bids, capital increases, mergers, demergers) occurred in the Italian and international markets, starting from the listing of various companies on the Italian and foreign markets (Amsterdam and Hong Kong) to the recapitalization of leading credit institutions. This activity is coupled with a relevant presence in the private M&A sector, with significant acquisitions in the banking and industrial sectors. Carlo then assists on an ongoing basis various companies active in different sectors, including luxury
and sports. In the latter field, he has gained significant experience in football clubs, including the management of image rights.

He graduated from the University of Parma and has been admitted to the Italian Bar Association since 1995. He is member of the New York Bar since 1997 and holds a LL.M. (C.J.) from the New York University School of Law (1995).

In January 2024, Pedersoli Studio Legale and Gattai, Minoli, Partners merged to become PedersoliGattai, which covers IPOs, and equity-linked, convertible, mandatory convertible and subordinated bonds. Leveraging the combined bench strength of ECM experts Marcello Magro, Carlo Re and Nicola Brunetti, also features tender and exchange offer specialist Marta Sassella; Francesca Leverone and Leonardo Bonfanti, who assist with IPOs, rights issues, and listings on regulated markets and multilateral trading facilities; and senior associate Federico Tallia, who maintains an ECM transactions practice. The firm was further bolstered by the recent arrival of Carlo Montagna and Alessandro Capogrosso from BonelliErede.

In January 2024, Pedersoli Studio Legale and Gattai, Minoli, Partners merged to become PedersoliGattai, which fuses banking and financial services sector experience with private equity expertise. The practice fields several advisers, namely: highly-rated M&A practitioner Eugenio Barcellona; ‘great lawyerAscanio Cibrario; private equity specialist Bruno Gattai; and transaction expert Andrea Gandini. Other key practitioners are Marcello MagroAlessandro Marena, Antonio Pedersoli, Carlo Pedersoli and Giovanni Pedersoli, along with Gerardo Gabrielli, Luca Saraceni, Luca Rossi Provesi, Marta Sassella, Federico Bal and Damiano Battaglia. Carlo Montagna and Stefano Cacchi Pessani joined during 2023 from BonelliErede. Luca Minoli left the firm in March 2024.
