Equity Partner. Alberto Toffoletto has extensive experience in Litigation & Arbitration, Antitrust & Competition Law, Corporate & Commercial Law, Mergers & Acquisitions and Private Equity.

He advises national, international and multinational companies and private equity funds on acquisitions (both domestic and cross-border), litigations, arbitrations and antitrust law.

Mr. Toffoletto is also Full Professor of Commercial and Company Law at Università degli Studi di Milano.

Nctm Studio Legale is experienced in the small and medium-sized enterprises market; the practice also advises large and international clients on cross-border matters. Vittorio Noseda advised Electrolux Italia on the acquisition of Best, an Italian manufacturer of innovative kitchen hoods, from the US group Broan-Nutone. The practice also advised Snam on the acquisition of  Infrastructure Trasporto Gas as well as the purchase of 7.3 per cent of Terminale GNL Adriatico (Italy’s largest offshore platform for storage and regasification of natural gas) from Edison. Simone De Carli is M&A and private equity head and Sante Ricci is corporate and commercial head. The other key advisers are Paolo MontironiAlberto Toffoletto, Matteo Trapani and Pietro Zanoni.

Nctm Studio Legale acts for clients in a variety of sectors, including energy, real estate, TMT, insurance, banking and finance. The ‘excellent’ and sizeable team, led by Alberto Toffoletto, has ‘very strong technical and strategic skills’ and ‘always tries to find alternative solutions by adopting a pragmatic approach’. It successfully represented Erg Power in an arbitration against Cogest Consorzio Gestioni regarding the maintenance and renovation works to be performed on a plant in Sicily and is defending Telecom Italia in a follow-on antitrust damages action brought by Vodafone. The group also represents the EU Council before the EU courts regarding the tariffs imposed at EU borders on imports from various third countries. ‘Excellent strategic-thinkerAngelo Anglani is also recommended. Michele Zucca and Martino Andreoni were promoted to equity partner in June 2018.

The strength of Nctm Studio Legale’s team ‘lies in its deep knowledge of the regulations and ability to apply it to practical cases, even those that are not explicitly taken into consideration by the rules’. Alberto Toffoletto and Luca Toffoletti, who is ‘used to approaching competition issues carefully and to avoiding unnecessary risks for his client’, are the key contacts in the practice. The group is particularly experienced in the telecoms sector, as shown by the various antitrust-related matters handled for longstanding client Telecom Italia. Other work includes advising Nuovo Trasporto Viaggiatori on the granting of state aid to Trenitalia for the provision of public interest services and the determination as to whether the sums paid are appropriate, and acting for Linde Medicale in an investigation initiated by the ICA concerning alleged concerted practice in the context of calls for tenders for medical services.
