Position

Steve Jacoby co-heads the Luxembourg Banking, Finance and Capital Markets practice and handles acquisition finance, bank lending, securitisation, capital markets, regulatory, derivatives, general banking law (including litigation), corporate law and insolvency matters. Steve is an associate lecturer (Chargé de Cours Associé) at the University of Luxembourg and a lecturer at the Luxembourg Bar School in banking, finance and capital markets law. He is a regular contributor to legal journals and a member of various advisory committees on financial law questions within Luxembourg public institutions and professional organisations.

The team is well-placed to advise on cross-border mandates by virtue of its vast international network but is also picking up an increased volume of work where Luxembourg law governs the contractual documentation between parties. In this regard, the ‘very responsive’ Martin Wurth is noted for his fund financing prowess and regularly advises banks and borrowers on both syndicated and bilateral facilities. Steve Jacoby also provides ‘top-notch’ advice on fund financing subscription and capital call facility agreements, as well as handling a considerable amount of fintech and acquisition finance mandates. Stefanie Ferring handles new money deals, refinancings and restructurings, with the real estate sector a particularly fertile source of work. Marc Mehlen rounds out the team at a leadership level and is noted for his capital markets prowess, particularly as it relates to securitisations and debt issuances.

Leaning into deep industry knowledge both locally and internationally, as well as benefiting from strong relationships with regulators, Clifford Chance is able to provide ‘high-quality advice and tailor made solutions’ to traditional financial services clients and fintech providers across a range of major transformational projects across key areas including digital assets, blockchain, payments, AI, data, fund tech, cyber and insurtech. Banking and finance co-head Steve Jacoby is central to much of the key work in the space, including his recent landmark advice to European Investment Bank (EIB) on the issuance of its first euro-denominated digital bond on a private blockchain. The firm’s multi-disciplinary approach also leads to a significant amount of funds and corporate-related fintech work, including in the context of M&A in the space.

Overseen by litigator Albert Moro and led on a day-to-day basis by the ‘friendly and always available’ senior associate Charles-Henri Laevens, Clifford Chance handles a range of IP, IT and data protection work, primarily for clients within the asset management and financial services sectors. As part of his wide-ranging banking practice, Steve Jacoby has become increasingly active in the fintech space, gaining particular insight into developments and trends through his involvement with the LHoFT Foundation, Luxembourg’s dedicated fintech centre.
