Position

As a leading corporate lawyer, Stephanie supports clients across all aspects of their operations, from strategic advice on corporate governance to the complexities of large, international transactions.

Stephanie manages a diverse corporate and transactional practice, working with oil and gas companies in Canada and internationally to support all aspects of their business, including board and governance matters, securities and regulatory compliance, mergers and acquisitions, debt and equity financings, corporate structuring, labour matters and commercial arrangements, including joint ventures and contractor arrangements.

Throughout each stage of a transaction, from strategic discussion to deal completion, Stephanie is actively involved, often coordinating the roles across a large team of advisers in many jurisdictions and managing the government and partner approval processes. Her transactional experience extends beyond Canada and the United States to the Middle East, Turkey, Argentina, Africa, China, Colombia, Brazil, Ireland, the Netherlands and other jurisdictions.

At the board level, Stephanie advises on best practices for governance, fiduciary duties, disclosure, compliance, corporate ethics and ESG, anti-corruption and other legal matters. She often acts in the role of in-house counsel and as corporate secretary for international oil and gas companies.

Memberships

Before relocating to Calgary, Stephanie practised environmental and natural resource law in Denver, Colorado, where she worked on a broad range of U.S. legal matters in the natural resources, environmental, regulatory and corporate practice. Stephanie clerked for Stephen Trott, a well-known federal appellate judge in the United States Ninth Circuit Court of Appeals, where she advised on complex federal cases.

Stephanie is Chair of the Oil and Gas Committee of the International Bar Association. She is also a member of the Rocky Mountain Mineral Law Foundation, the Association of International Petroleum Negotiators and the Natural Resources Canada Advisory Committee for the Extractive Sector Transparency Measures Act.

Stephanie is a former director of the Ability Society of Alberta and is an active volunteer in her community.
