Our background: Warot Advisory Services Co., Ltd. (the “firm”) is a Thai law firm that specialises in helping both domestic and international clients to set up and operate business in Thailand. The goal of our firm is to provide clients with accurate and practical legal advice in a timely manner, while adding value to clients’ business activities at a reasonable cost.

Our practices
Mergers and acquisitions:  We advise on all of the legal aspects of a transaction; including conducting legal due diligence, assisting in structuring transactions, negotiating and drafting shareholders agreements, share subscription agreements, share purchase agreements, as well as all other transaction-related agreements/documents. We also assist Thai companies in investment and expansion in Southeast Asia.

We provide advice on transaction-related documentation, legal instruments and required licenses in various industries, including manufacturing, trading and service sectors.

Corporate and commercial: We provide corporate advisory services including advice on the formation of a company, the licenses and permits required to operate specific businesses, and general legal advice for the day-to-day operation of a company.  We also assist clients in drafting and negotiating various kinds of commercial contracts/agreements, for example, agency agreements, franchise agreements, license agreements, lease agreements, service agreements, etc.

In addition, we provide corporate secretarial services to private and public companies, including preparation of applications for the changing of corporate information; for example: change of directors; capital increase/decrease; change of address, etc and advising on the securities laws.

Foreign direct investment: We assist clients in gaining access to Thai investment promotion programmes and other investment and industrial incentives provided by the Board of Investment of Thailand (BOI) and Industrial Estate Authority Thailand (IEAT). We also help clients obtain foreign business licenses under Thai Foreign Business Act from the Department of Business Development, Ministry of Commerce.

Employment and immigration: We are able to assist with the preparation and negotiation of employment agreements and service contracts, as well as ensuring compliance with the requirements of labour law. We can help our clients prepare and register work rules with the Labour Department. We also provide immigration services that include applying for work permits, non-immigrant visas, family visas and re-entry permits for expatriates working in Thailand and their dependants.

Tax: We can advise our clients on tax implications, such as corporate income tax, value added tax, withholding tax and stamp duty for various issues on domestic transactions; for example, mergers and acquisitions; transfer pricing; cost allocations and personal income tax for expatriates. We can also help our clients identify tax implications on cross-border transactions and inter-company transactions, i.e. permanent establishment, capital gains, withholding tax, and tax incentives provided in double taxation agreements.

We also assist clients in conducting tax due diligence and structuring transactions in a tax-efficient manner and provide support/compliance for tax needs. In addition, we represent clients in audits by the Thai Revenue Department, and procure refunds for overpaid value added tax and withholding tax, and assist clients in drafting and submitting requests for tax rulings.

Litigation and dispute resolution: We provide comprehensive litigation and dispute resolution services. Our lawyers are experienced in handling litigation before the courts of Thailand and making settlement agreement. Our clients include manufacturers of automotive parts, manufacturers of electronic equipment and retails.

Other areas of law: Other areas of law in which we can help our clients include: capital market, real estate, particularly issues of title deed ownership, mortgage registration, licensing and other compliance; E-commerce; food and drug; and renewable energy programmes in Thailand.
