Corina advises domestic and international corporate clients and entrepreneurs on a wide variety of mergers and acquisitions, corporate and other regulatory matters.

She has significant experience in structuring, negotiating, and implementing merger and acquisition transactions and corporate restructuring projects. Also, she is well-versed in providing legal assistance on the full range of corporate, commercial, and regulatory matters related to the day-to-day operations of businesses.

Corina’s credentials include providing legal assistance to large and medium size corporations in relation to multi-million-euro share or asset deals, spin-off or group reorganization projects, involving clients from the public and private sectors. She has been involved in or coordinated the assistance provided in relation to engagements concerning the early structuring stages of a project and negotiation of specific documentation, up to court representation in relation to mergers and spin-offs, while also assisting clients during the final implementation of conditions precedent and other transaction-related covenants.

In addition, she also supports clients in relation to the filing and settlement of claims following large and complex acquisition processes, assisting them during negotiations on the remedies available and amounts sought as compensation for breach of transaction reps & warranties.

Corina has been assisting start-ups in obtaining and attracting financing from private investors, including by preparing necessary due diligence reviews, negotiating and securing rights for the founders and implementing complex corporate governance mechanisms meant to accommodate both investor and founder rights, while preserving a smooth management of the start-ups themselves.

On the regulatory side, Corina has assisted clients before public authorities in obtaining licenses, permits or authorizations for new business lines, as well as in relation to AML obligations under the Romanian law. Also, in the context of energy-related difficulties, Corina has provided assistance and representation services to various clients before the Ministry of Energy in relation to the capping of energy prices.

Corina assists clients active in various industries, including automotive, manufacturing, retail, gambling, IT, FMCG, pharma, transport and logistics.

She is an active member in various technical work groups for the implementation of amendments to the current legislative framework, particularly in the field of corporate law.
