Career

A founding partner at Almain, Cécile’s practice focuses on mergers and acquisitions, strategic alliances and private equity transactions. She handles both domestic and cross-border deals (specifically in Africa and Europe) and advises French and international groups, French and foreign small and medium sized companies, investment funds, as well as family offices.

Cécile also has significant expertise in corporate law, namely restructuring, corporate finance, profit-sharing plans, corporate governance.

She also handles M&A related litigation or pre-litigation disputes (breach of negotiations, breach of representations and warranties, price adjustments, and implementation of shareholder agreements).

Cécile has particular expertise in the tech, retail, banking-finance, real estate and energy sectors.

Involved alongside her clients as from the earliest stage of their projects, Cécile thus gains a complete picture of the transactions, especially as regards operational, strategic and financial challenges, this enables her to offer pragmatic and tailor-made legal solutions to the complex issues raised by the transactions she handles.

Cécile joined Gide Loyrette Nouel in 1999, where she remained until 2015. She was seconded for over a year to the Caisse des Dépôts et Consignations (Deposits and Consignments Fund) between 2014 and 2015, in an advisory role in a number of energy infrastructure and restructuring projects. This experience allows her to have a perfect understanding of clients’ needs and to propose a practical and business-oriented approach of M&A transactions.

Cécile previously lectured in mergers and acquisitions at the Ecole de Formation du Barreau (Bar Training School).
